Super Micro Computer Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SMCI#NASDAQ">SMCI</a>) shares are trading higher on Thursday. The company announced it submitted a <a href="https://www.benzinga.com/pressreleases/24/11/b42099063/super-micro-computer-inc-nasdaq-non-compliance-update">compliance plan to the Nasdaq</a>.
What Happened: After the market close on Wednesday, Super Micro said it submitted a compliance plan to the Nasdaq after receiving a notification letter that it was not in compliance with the Nasdaq&#8217;s timely filing rule. The plan was submitted on Monday with respect to supporting the company&#8217;s request for an extension to regain compliance.
Super Micro said in the compliance plan that it believes it will be able to file both its annual report for the fiscal year ended June, 30 2024 and its quarterly report for the period ended Sept. 30, 2024 within the discretionary period that can be granted by the Nasdaq.

The update comes after the company&#8217;s independent auditor resigned at the end of October over&nbsp;<a href="https://www.benzinga.com/quote/SMCI" target="_blank" rel="noreferrer noopener">governance and transparency concerns</a>. 
Super Micro on Monday announced that it <a href="https://www.benzinga.com/trading-ideas/movers/24/11/42069253/supermicro-stock-is-rising-tuesday-whats-going-on">appointed BDO USA</a> as its new independent auditor, effective immediately.
&#8220;BDO is a highly respected accounting firm with global capabilities.&nbsp;This is an important next step to bring our financial statements current, an effort we are pursuing with both diligence and urgency,&#8221; said&nbsp;Charles Liang, president and CEO of SuperMicro.
Super Micro has faced significant selling pressure since the company&#8217;s auditor raised concerns. The stock traded all the way down to around $17.25 per share last week before bouncing back. Super Micro shares are now up more than 43% over the past five trading sessions.

What Happened: The deal, priced at $22.30 per share, involves securities purchase agreements with institutional and accredited investors. The proceeds will support general corporate purposes, including working capital and business development.
The private placement, expected to close on November 21, includes participation from Chairman and Interim CEO Benjamin Kovler, who purchased 10,000 shares at $38.76 each in accordance with Nasdaq requirements.
Kovler emphasized the strategic significance of the funding, calling it a &#8220;strong move&#8221; for the company and shareholders. &#8220;We plan to channel this capital into areas within our expertise to maximize shareholder value,&#8221; he said, highlighting optimism around cannabis and hemp consumer trends. 
Kovler also confirmed progress on the company&#8217;s pending Señorita transaction, which is anticipated to close by year-end.

KKR &amp; Co. Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/KKR#NYSE">KKR</a>) shares are trading higher premarket on Thursday. The company led a $370 million growth investment in Lighthouse, a commercial intelligence platform<a href="https://www.benzinga.com/pressreleases/24/11/b42104948/lighthouse-announces-370-million-series-c-investment-led-by-kkr-to-accelerate-platform-innovation-" target="_blank" rel="noreferrer noopener"> for the travel and hospitality industry</a>.
This funding will propel Lighthouse&#8217;s efforts to transform commercial strategy within the $15 billion travel and hospitality technology sector. 
The investment will be allocated towards further product innovation, strategic acquisitions, and expanding Lighthouse's global presence.
Notably, KKR has a proven track record of investing $23 billion in technology-focused growth companies since 2010, which will help Lighthouse expand globally.
Sean Fitzpatrick, CEO of Lighthouse said, &#8220;This investment by KKR significantly accelerates our ability to enhance our commercial platform through expanded AI capabilities and additional data sets, enabling us to better serve our existing customers while continuing to expand across the hospitality market.&#8221;
Yesterday, KKR launched the second stage of its tender offer for FUJI SOFT INCORPORATED shares and share options, which started on November 20, 2024, and will <a target="_blank" href="https://www.benzinga.com/pressreleases/24/11/b42083136/kkr-commences-second-tender-offer-for-fuji-soft" rel="noreferrer noopener">run until December 19, 2024</a>.
The tender offer price is 9,451 yen per common share and varies for share options, with prices set at 1,197,200 yen for the 5th Series, 1,059,800 yen for the 6th Series, and 293,200 yen for the 7th Series.

In summary, it has become clear that the current Greenfire Board, in the face of poor operational performance, a declining share price and blatant self-dealing, has resorted to desperate corporate lawfare maneuvers to entrench themselves despite overwhelming evidence that their shareholders and the market has lost confidence in them.
Fortunately, Greenfire shareholders have another option. WEF was attracted to Greenfire likely for the same reason as many of its fellow shareholders: Greenfire owns a high-quality asset, but the company's value is currently clouded by mismanagement and a dysfunctional Board. WEF has a track record of creating value by simplifying complex corporate situations so that the underlying value of the assets can shine through, and it is confident it can once again do so with Greenfire.
WEF is&nbsp;requesting&nbsp;that&nbsp;the&nbsp;Board call a meeting of Greenfire shareholders to replace the current Board of&nbsp;four with six highly-qualified directors (the "Shareholder Nominees") who bring significant oil and gas, operational, public company, capital markets, mergers and acquisitions and financial experience.&nbsp;WEF requests that the Meeting be held promptly, and in any event by no later than January 2025.
Finally, contrary to Greenfire's baseless claims in its November 20, 2024 press release, WEF has no intention of proposing a combination of Greenfire and Strathcona at this time. Furthermore, even if it did, shareholders should rest assured that any such transaction would be subject to the approval of the majority of disinterested (i.e. non-WEF) shareholders (at both Greenfire and Strathcona), under Multilateral Instrument 61-101&nbsp;- Protections for Minority Shareholders. Moreover, contrary to Greenfire's claims, all six of WEF's nominees are considered independent under applicable securities laws.
