On November 15, 2024, in connection with a one-for-two reverse stock split (the "Reverse Stock Split") of the common stock, $0.01 par value per share (the "Common Stock") of Wheeler Real Estate Investment Trust, Inc. (the "Company"), to be effective on November 18, 2024, the Company filed two Articles of Amendment to its charter with the State Department of Assessments and Taxation of Maryland that provide for:
 &nbsp;
i.a one-for-two Reverse Stock Split of the Common Stock, to be effective at 5:00 p.m. Eastern Time (the&nbsp;"Effective Time") on November 18, 2024 (the "First Amendment"); and
ii.the par value of the Common Stock to be decreased from $0.02 per share (as a result of the one-for-two Reverse Stock Split) to $0.01 per share, to be effective at 5:01 p.m. Eastern Time on November 18, 2024 (the "Second Amendment").

Pursuant to the First Amendment, no fractional shares will be issued in connection with the Reverse Stock Split; rather, stockholders who would have otherwise been issued a fractional share of the Common Stock as a result of the Reverse Stock Split will instead receive a cash payment in lieu of such fractional share in an amount equal to the applicable fraction multiplied by the closing price of the Company's Common Stock on The Nasdaq Capital Market on November 18, 2024 (as adjusted for the Reverse Stock Split), without any interest.

Effect of Reverse Stock Split on Common Stock
 &nbsp;
At the market open on November 19, 2024 (the first business day after the Effective Time), the Common Stock will begin trading on a split-adjusted basis on The Nasdaq Capital Market under a new CUSIP number (963025846).
 &nbsp;
The Reverse Stock Split will apply to all of the outstanding shares of Common Stock as of the Effective Time, with a corresponding adjustment to the outstanding partnership units of the Company's operating partnership, Wheeler REIT, L.P. It therefore will not affect any particular stockholder's relative ownership percentage of shares of Common Stock, except for de minimis changes resulting from the payment of cash in lieu of fractional shares. The Reverse Stock Split will also not affect the relative voting or other rights that accompany the shares of Common Stock, except to the extent that it results from a stockholder receiving cash in lieu of fractional shares. There will be no change to the number of authorized shares of the Common Stock as a result of the Reverse Stock Split. The Company's trading symbol will remain unchanged, but the CUSIP number for the Company's registered Common Stock will be changed to 963025846.

In connection with the Reverse Stock Split, adjustments will be made to the number of shares of Common Stock issuable upon conversion of the Company's convertible securities.

Why It's Important: Tesla, regularly among the most searched tickers on the site, climbed the leaderboard to be the most-searched ticker on Benzinga Pro in October. The stock was third in the past two months, but ranked first in July. 
Nvidia ranked second in October, dropping from first place over the last two months. The technology giant briefly passed Apple and Microsoft to be the<a href="https://www.benzinga.com/markets/equities/24/10/41551461/nvidia-overtakes-apple-as-worlds-most-valuable-company-again"> most valuable company in the world.</a>
One of the biggest movers in October was Trump Media &amp; Technology Group, a media company co-founded by former President Donald Trump. The stock has surged in recent weeks ahead of Election Day. Trump's odds of winning the 2024 presidential election have <a href="https://www.benzinga.com/markets/cryptocurrency/24/10/41635149/2024-election-odds-on-polymarket-kalshi-show-trump-will-win-why-they-might-be-wrong">increased across prediction markets</a> and sports betting apps.
The stock has also been highlighted as a potential <a href="https://www.benzinga.com/general/politics/24/10/41630878/djt-short-squeeze-could-push-stock-to-60-if-trump-wins-but-analysis-says-loss-could-make-shares-">short-squeeze stock </a>with high short interest. A 2024 election win by Trump could see the stock shoot higher. Likewise, the stock could fall significantly if Trump loses the election.
Trump Media &amp; Technology Group will likely be among the most searched tickers on Benzinga Pro in November with Election Day happening on Nov. 5. The stock was the 20th most searched ticker in September and wasn't in the top 20 in August or July, ranking just outside the top 20.
The SPDR S&amp;P 500 ETF Trust falls to fourth place from second in the past two months, likely due more to the surge in interest in the stocks mentioned above and not less interest in the S&amp;P 500 market index. Although it should be noted that the Invesco QQQ Trust ETF, which tracks the Nasdaq 100 Index, fell from sixth place to 15th in October, potentially signaling less interest in ETFs and market indexes.
Other newcomers to the top 10 were Bright Minds Biosciences, Tevogen Bio and Oklo, who have each not previously been among the top 20 most-searched tickers in any given month. Tevogen shares have fallen significantly in 2024, while Bight Minds Sciences and Oklo are each up over 100% in 2024.
Advanced Micro Devices also returned to the top 10, ranking seventh, which comes after falling out of the top 20 in September. The stock has regularly gone back and forth between the top 10 and top 20 each month in 2024.

Why It&#8217;s Important:&nbsp;Nvidia was the top searched stock on Benzinga Pro for the month of September once again. The stock has ranked first or second for every month tracked since February, sometimes alternating with SPY or Tesla.
The SPDR S&amp;P 500 ETF Trust ranked second for a second straight month, which comes as the S&amp;P 500 tracking index hit new all-time highs in the month of September.
Tesla, which topped the month of July, has ranked third for two straight weeks. The stock has ranked among the top four stocks searched in each month tracked in 2024.
The bigger story in September were the newcomers and the stocks that dropped off.
Newcomers to the top 10 included Wheeler Real Estate, Galmed, Intel and Intuitive. Of the four stocks, only Intuitive had ranked in the top 20 over the last three months. The newcomers all had catalysts in the last month that made their stocks highly volatile.
On the 11th through 20th portion of the list, the stocks were all different from the previous month with Intuitive moving to the top 10 and Palantir going from 7th to 12th and the other stocks all new to the top 20.
Several of the companies ranked in the bottom part of the top 20 are penny stocks trading at less than $5 per share that saw wide moves that saw increased interest from Benzinga traders.
One of the bigger names to make the top 20, by name recognition, is Trump Media &amp; Technology Group, the company that counts former President Donald Trump as a co-founder. The stock has been highly volatile during the 2024 election cycle.
Dropping out of the top 10 were Lumen Technologies (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/LUMN#NYSE">LUMN</a>), Advanced Micro Devices (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AMD#NASDAQ">AMD</a>), Geovax Labs (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/GOVX#NASDAQ">GOVX</a>) and the aforementioned Palantir.
Other big names that exited the top 20 include Amazon.com Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AMZN#NASDAQ">AMZN</a>) that was 13th in August and fell to 24th to narrowly miss the list.
Meta Platforms (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/META#NASDAQ">META</a>), which has frequently appeared in the top 20 and was ranked 15th in August dropped out of the top 20.
Overall the month of September saw six of the same top 10 tickers from August and eight of the top 20 tickers from August.

Shares of Granite Point Mortgage Trust Inc. After the market close on Friday, Granite Point Mortgage Trust declared a quarterly cash dividend of 5 cents per share of common stock for the third quarter of 2024. The company's board also declared a quarterly cash dividend of 43.75 cents per share of the 7.00% Series A Fixed-to-Floating Rate Cumulative Redeemable Preferred Stock.

Charter Amendments for One-for-Three Reverse Stock Split

On September 17, 2024, in connection with a one-for-three reverse stock split (the "Reverse Stock Split") of the common stock, $0.01 par value per share (the "Common Stock") of Wheeler Real Estate Investment Trust, Inc. (the "Company"), to be effective on September 19, 2024, the Company filed two Articles of Amendment to its charter with the State Department of Assessments and Taxation of Maryland that provide for:

i.a one-for-three Reverse Stock Split of the Common Stock, to be effective at 5:00 p.m. Eastern Time (the&nbsp;"Effective Time") on September 19, 2024 (the "First Amendment"); and
ii.the par value of the Common Stock to be decreased from $0.03 per share (as a result of the one-for-three Reverse Stock Split) to $0.01 per share, to be effective at 5:01 p.m. Eastern Time on September 19, 2024 (the "Second Amendment").

Pursuant to the First Amendment, no fractional shares will be issued in connection with the Reverse Stock Split; rather, stockholders who would have otherwise been issued a fractional share of the Common Stock as a result of the Reverse Stock Split will instead receive a cash payment in lieu of such fractional share in an amount equal to the applicable fraction multiplied by the closing price of the Company's Common Stock on The Nasdaq Capital Market on September 19, 2024 (as adjusted for the Reverse Stock Split), without any interest.

Effect of Reverse Stock Split on Common Stock

At the market open on September 20, 2024 (the first business day after the Effective Time), the Common Stock will begin trading on a split-adjusted basis on The Nasdaq Capital Market under a new CUSIP number (963025853).
 &nbsp;
The Reverse Stock Split will apply to all of the outstanding shares of Common Stock as of the Effective Time, with a corresponding adjustment to the outstanding partnership units of the Company's operating partnership, Wheeler REIT, L.P. It therefore will not affect any particular stockholder's relative ownership percentage of shares of Common Stock, except for de minimis changes resulting from the payment of cash in lieu of fractional shares. The Reverse Stock Split will also not affect the relative voting or other rights that accompany the shares of Common Stock, except to the extent that it results from a stockholder receiving cash in lieu of fractional shares. There will be no change to the number of authorized shares of the Common Stock as a result of the Reverse Stock Split. The Company's trading symbol will remain unchanged, but the CUSIP number for the Company's registered Common Stock will be changed to 963025853.

In connection with the Reverse Stock Split, adjustments will be made to the number of shares of Common Stock issuable upon conversion of the Company's convertible securities.

Effect of Reverse Stock Split on 7.00% Subordinated Convertible Notes Due 2031

As a result of the Reverse Stock Split, pursuant to and in accordance with Section 14.05(c) of that certain indenture, dated as of August 13, 2021, between the Company and Wilmington Savings Fund Society, FSB as trustee, pertaining to the Company's 7.00% subordinated convertible notes due 2031 (the "Notes"), the conversion rate of the Notes will be proportionately reduced from 31.58 shares of Common Stock per each $25.00 principal amount of the Notes to 10.53 shares of Common Stock per each $25.00 principal amount of the Notes.

Effect of Reverse Stock Split on Preferred Stock

As a result of the Reverse Stock Split, the conversion price of the Company's Series B Convertible Preferred Stock will proportionally increase from $48,000 per share of Common Stock to $144,000 per share of Common Stock, and one (1) share of Series B Convertible Preferred Stock will be convertible into 0.000174 shares of Common Stock.

As a result of the Reverse Stock Split, the conversion price of the Company's Series D Cumulative Convertible Preferred Stock will proportionally increase from $20,352 per share of Common Stock to $61,056 per share of Common Stock, and one (1) share of Series D Cumulative Convertible Preferred Stock will be convertible into 0.000409 shares of Common Stock.

Effect of Reverse Stock Split on Incentive Plans

European shares were higher today. The eurozone's STOXX 600 gained 0.6%, Germany's DAX gained 0.5% and France's CAC 40 rose 0.6%. Spain's IBEX 35 Index rose 0.6%, while London's FTSE 100 rose 0.6%.
The BNP Paribas Real Estate Construction PMI in Ireland edged higher to 50.0 in August from 49.9 in July.
Asia Pacific Markets
Asian markets closed mostly lower on Monday, with Japan's Nikkei 225 falling 0.48%, Hong Kong's Hang Seng Index declining 1.42%, China's Shanghai Composite Index falling 1.06% and India's BSE Sensex gaining 0.46%.
Foreign exchange reserves in Singapore declined to SGD 501.3 billion in August compared to SGD 506.4 billion a month ago. The gauge for Japan's service sector rose to 49.0 in August versus 47.5 in the prior month, while the country' economy expanded by 2.9% on an annualized basis during the second quarter.
China&#8217;s annual inflation rate accelerated to 0.6% in August from 0.5% in the prior month, while producer prices fell by 1.8% year-over-year in August.
Economics
The Manheim Used Vehicle Value Index rose 1.2% month-over-month in August compared to a 2.8% gain in July.
