Silo Wellness has acquired 25,081,369 NUGL shares and in turn issued 15,293,640 of its Class A shares as part of the shares exchange agreement. Both companies are not permitted to transfer or sell these shares for a minimum 12 months, unless they have been properly registered under the Securities Act or are exempt from registration.
Silo aims to incorporate Kaya's psilocybin offerings at its wellness retreats so that participants can explore alternative healing and mental health treatments including potential combinations of cannabis and psilocybin.
As such, the partnership combines Kaya's three Herb House retail locations and Gap Café wellness center with Silo's expertise in managing psilocybin wellness retreats in Jamaica's legal psilocybin market.
Silo Wellness founder, CEO and Oregon attorney Mike Arnold says the collaboration is “a monumental stride” in realizing the company’s vision to offer holistic treatments and broaden its international footprint.“We're committed to providing transformative plant medicine wellness experiences."
NUGL CEO and Kaya founder Bali Vaswani believes Jamaica is “a perfect market” for psilocybin offerings, and hopes the new partnership will contribute to “the evolving conversation around the potential benefits of these natural compounds."
Kaya Farm can be visited at its Drax Hall location, which cultivates and processes 45+ different genetics. The company develops and distributes legal psilocybin mushrooms throughout Jamaica via its Extracts division.
For its part, NUGL, a cannabis and psychedelics lifestyle company, serves as a networking and advertising platform for cannabis companies to expand their reach within legal territories.
