MSMB Capital Management Proposes Acquisition of SeraCare for $4.25 Per Share

MSMB Capital Management today announced that it has made a proposal to the Board of Directors of SeraCare Life Sciences, Inc. SRLS to acquire all the outstanding common stock of SeraCare for $4.25 per share or an aggregate of $82 million. This proposal represents an approximate 22% premium above the closing price of SeraCare stock of $3.49 on June 22nd, 2011. MSMB's offer is conditioned on completion of cursory due diligence and other customary provisions. MSMB's offer is not subject to any financing condition. “While I appreciate the professional response SeraCare management has provided to the offer I privately communicated, I now believe it is in SeraCare's shareholders' best interest for this process to become public”, said Martin Shkreli, Chief Investment Officer of MSMB Capital Management LLC. Shkreli added, “My hope is the Board of Directors and I can come to a friendly conclusion to this matter. However, MSMB reserves the right to take any steps it deems necessary to maximize shareholder value if a timely conclusion is not reached.”
