The offering is set to close on March 27, pending customary conditions. Underwriters have a 30-day option to purchase an additional 3.75 million shares.

TD Cowen, Barclays and BTIG are leading the offering, with H.C. Wainwright & Co. and The Benchmark Company acting as lead managers. Proceeds will support the commercialization of SYMVESS™ for vascular trauma, pipeline development and general corporate needs.

Humacyte will also release its financial results for the fourth quarter and year ended December 31, 2024, on Friday.
