The following information is being provided in accordance with the disclosure requirements of the AIM rules. Under the terms of the agreement, Maxcyte paid a total initial consideration of $4.5 million at closing in cash for the entire issued share capital of SeQure DX on a cash free, debt free basis&nbsp;using Maxcyte's existing cash resources. An additional amount, that will not exceed $2.5 million, may be paid in contingent consideration if the company exceeds certain revenue targets.&nbsp;In 2024 (based on available unaudited results from January 1 through November 30), SeQure DX incurred revenue of approximately $1.7 million and a loss of approximately $6.5 million and has net assets of $0.7 million as of closing.

On the economic data front, the U.S. trade deficit in goods increased to a record $122.11 billion in December versus a revised $103.5 billion gap in the prior month. U.S. wholesale inventories declined by 0.5% month-over-month to $898 billion in December following a revised 0.1% fall in the previous month and versus market estimates of a 0.2% gain.
Most sectors on the S&amp;P 500 closed on a negative note, with information technology, real estate, and healthcare stocks recording losses on Wednesday. However, consumer staples and communication services stocks bucked the overall market trend, closing the session higher.
The Dow Jones closed lower by around 137 points to 44,713.52 on Wednesday. The S&amp;P 500 fell 0.47% to 6,039.31, while the Nasdaq Composite fell 0.51% at 19,632.32 during Wednesday's session.

The company, meanwhile, said it expects its vehicle business to return to growth in 2025. Tesla also promised to launch new and "more affordable" models in the first half of 2025, in addition to other promises regarding the deployment of autonomous vehicles and licensing of the company's full self-driving (FSD) driver assistance software to rivals. Tesla shares gained 4.1% to $405.23 in the after-hours trading session.</li>

Roche For 2025 Expects Mid-Single-Digit Sales Growth And High-Single-Digit Core EPS Growth

A PSA Airlines Bombardier CRJ700 regional jet collided in midair with a Sikorsky H-60 helicopter while it was nearing the runway at Reagan Washington National Airport (DCA) around 9 p.m. local time on Wednesday. The plane, with 60 passengers and four crew members onboard, fell into the Potomac River near the airport after the crash.
All takeoffs and landings were subsequently halted at the airport for the remainder of the evening.
Authorities held a news conference later and informed that the airport would be closed until at least 11 a.m. ET on Thursday.
Mayor of Washington DC, Muriel Bowser said in a statement that both aircraft are in the water. There are three people in the military helicopter, she said.
There are no updates on any survivors as of now. However, authorities also did not provide a death toll from the accident.
President Donald Trump on Thursday termed the air accident near Washington DC involving an American Airlines (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AAL#NASDAQ">AAL</a>) plane and another army helicopter on Wednesday night a "bad situation that looks like it should have been prevented."
&#8220;The airplane was on a perfect and routine line of approach to the airport. The helicopter was going straight at the airplane for an extended period of time. It is a CLEAR NIGHT, the lights on the plane were blazing, why didn't the helicopter go up or down, or turn. Why didn't the control tower tell the helicopter what to do instead of asking if they saw the plane. This is a bad situation that looks like it should have been prevented. NOT GOOD!!!,&#8221; Trump said in a post on Truth Social. 
The Federal Aviation Administration (FAA) said that PSA was operating Flight 5342 for American Airlines, and it had departed from Wichita, Kansas. United States Secretary of Defense Pete Hegseth confirmed that the helicopter involved in the accident was an Army UH-60 helicopter from Bravo Company, 12th aviation battalion out of Davison Army Airfield, Fort Belvoir during a training flight. Hegseth added that both the Army and the Department of Defense have launched an investigation into the accident. 
American Airlines CEO Robert Isom said in a statement that it is cooperating with the National Transportation Safety Board&#8217;s investigation into the accident. Isom said that he himself is departing to Washington DC.

Looking ahead, T-Mobile anticipates continued growth with projected postpaid net customer additions between 5.5 million and 6 million in the next fiscal.
The company also provided strong financial guidance, forecasting core adjusted EBITDA of $33.1 billion to $33.6 billion, net cash from operations of $26.8 billion to $27.5 billion, and adjusted free cash flow of $17.3 billion to $18.0 billion.
Price Action: TMUS shares closed 6.34% higher on Wednesday and advanced by 0.73% in after-hours to $236.86 per share, outpacing the exchange-traded fund tracking the Nasdaq 100 index Invesco QQQ Trust, Series 1 (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/QQQ#NASDAQ">QQQ</a>), which declined 0.19% to $520.83.

Litecoin (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/ltc/usd">LTC</a>) soared to double-digit gains on Wednesday after the SEC formally acknowledged its exchange-traded fund application.
What happened: The regulator solicited comments on the ETF applied by digital asset trading firm Canary Capital and asked for those to be submitted 21 days after publication in the Federal Register.
"Interested persons are invited to submit written data, views, and arguments concerning the foregoing, including whether the proposed rule change is consistent with the Act," a statement from the filing read.
The development sparked over a 11% increase in LTC, making it the biggest 24-hour gainer among coins valued at $1 billion or more. Its trading volume nearly doubled to $1.19 billion.
Leading ETF analyst Eric Balchunas said the Canary Capital ETF filing was "by far the furthest along checking all the boxes," since <a href="https://www.benzinga.com/markets/cryptocurrency/24/07/39992759/ethereum-etfs-debut-on-u-s-exchanges-a-new-era-for-digital-assets">the approval of</a> spot Ethereum (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/eth/usd">ETH</a>)-based ETFs last year.

Interestingly, the SEC described Litecoin as &#8220;very similar&#8221; to Bitcoin (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/btc/usd">BTC</a>), the first cryptocurrency with <a href="https://www.benzinga.com/markets/cryptocurrency/25/01/43064882/bitcoin-etfs-outperform-in-first-year-but-solana-xrp-etfs-face-challenges-expert-says">ETF shares</a> trading on Wall Street.

Litecoin Spikes Over 11% After SEC Acknowledges ETF Filing—Market Regulator Says LTC 'Very Similar' To Bitcoin

Shell plc (the ‘Company') today announces the commencement of a $3.5 billion share buyback programme covering an aggregate contract term of approximately three months (the ‘programme'). The purpose of the programme is to reduce the issued share capital of the Company. All shares repurchased as part of the programme will be cancelled. It is intended that, subject to market conditions, the programme will be completed prior to the Company's Q1 2025 results announcement, scheduled for May 2, 2025.
The Company has entered into an arrangement with a single broker consisting of two irrevocable, non-discretionary contracts, to enable the purchase of ordinary shares on both London market exchanges (the London Stock Exchange and/or on BATS and/or on Chi-X) (pursuant to one ‘London contract') and Netherlands exchanges (Euronext Amsterdam and/or on CBOE Europe DXE and/or on Turquoise Europe) (pursuant to one ‘Netherlands contract') for a period up to and including April 25, 2025. The aggregate maximum consideration for the purchase of ordinary shares under the London contract is $2.1 billion and the maximum consideration for the purchase of ordinary shares under the Netherlands contract is $1.4 billion.

Ameris Bank ("Ameris" or the "Bank"), the wholly owned subsidiary of Ameris Bancorp (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ABCB#NASDAQ">ABCB</a>), today announced that it has entered into a settlement with the U.S. Department of Justice that resolves&nbsp;alleged&nbsp;violations of fair lending laws in the Jacksonville, Florida metropolitan area from 2016 to 2021. As noted in the Consent Order resolving the case, Ameris firmly denies violating, and maintains that it has consistently complied with, applicable fair lending laws."We strongly disagree with any suggestion that we have engaged in discriminatory conduct and are confident in our efforts to provide equal access to affordable mortgage products in the Jacksonville community and all the markets we serve," said Palmer Proctor, CEO of Ameris. "We cooperated fully with the Department's inquiry and have entered into this settlement to avoid the distraction of litigation and because we share the Department's goal of expanding access to homeownership in underserved areas. The terms of this settlement are consistent with the Bank's existing programs and initiatives. We condemn discrimination in any form and remain committed to helping people in underserved communities gain equal opportunity to achieve homeownership, as well as access to banking services."Under the terms of the settlement, Ameris will provide $7.5 million in mortgage loan subsidies over a five-year period in Majority Black and Hispanic Census Tracts ("MBHCTs") in Jacksonville. The Bank will also commit, for the same five-year period in the Jacksonville MBHCT communities, $900,000 for focused advertising and outreach and $600,000 for community development partnerships providing services related to credit, financial education, homeownership, and foreclosure prevention. These efforts will supplement the Bank's current investments in mortgage loan subsidy programs and ongoing marketing and community outreach across the markets it serves.The settlement does not include any civil monetary penalties against Ameris.&nbsp;"With a 52-year history of service, Ameris is rooted in its purpose of bringing financial peace of mind to people and communities," Proctor added.
