The Merger Agreement was executed on August 8, 2022, and management expects the merger and reorganization to be completed in the fourth quarter of calendar year 2022, subject to certain conditions precedent including shareholder approval by both MJHI and CBDS shareholders.
The Merger Agreement provides for MJHI shareholders to receive 2.7 shares of CBDS common stock for each one share of MJHI common stock held immediately prior to the merger. Upon completion of the merger on the terms described in the Merger Agreement, it is anticipated that MJHI shareholders would own approximately 72% of the surviving company. The Merger Agreement contemplates that CBDS will be the surviving company in the merger and that following the merger, MJHI will cease to exist as a separate corporate entity.

MJ Harvest, Cannabis Sativa Announce Signing Of Definitive Plan of Merger And Reorganization

MJ Harvest, Inc. (OTCQB: <a class="ticker" href="https://www.benzinga.com/stock/mjhi#OTCQB">MJHI</a>)&nbsp;signed a letter of intent to merge with&nbsp;Cannabis Sativa, Inc. (OTCPK: CBDS) The LOI provides for MJHI shareholders to&nbsp;receive 2.7 shares of CBDS common stock for each share of MJHI common stock held immediately prior to the merger.
The LOI is non-binding except as to certain terms covering due diligence investigations, break-up provisions (including a $50,000 termination penalty), and a requirement that both companies operate in the ordinary course of business pending merger.
Upon completion of the merger on the terms described in the LOI, it is anticipated that MJHI shareholders would own approximately 72% of the surviving company. The LOI contemplates that CBDS will be the surviving company in the merger and that following the merger, MJHI will cease to exist as a separate corporate entity. Management estimates that the shareholder meeting for the merger will be held in mid-July 2022.
In order to complete the merger, CBDS shareholders will be asked to approve an increase in the number of authorized shares of common stock of CBDS to 500 million shares. Following the merger, there would be approximately 160 million shares outstanding with approximately 44 million shares held by the original CBDS shareholders, and approximately 116 million shares held by the MJHI shareholders that receive stock in the merger.
The combined business following the merger will have operations in seven states and&nbsp;a comprehensive product line that includes the Country Cannabis brand plus licensing arrangements for the Weedsy, BLVK, Chronic, and Sublime brands. MJHI also holds 10% investments in WDSY, LLC and Blip Holdings, LLC, the companies that own the Weedsy and BLVK brands, respectively. MJHI&#39;s current product offerings and the brands represented are reflected on the MJHI website.
Upon signing the definitive merger agreement, both MJHI and CBDS expect to convert related party debt to equity resulting in the elimination of approximately $1.9 million and $1.42 million in related-party debt on the books of MJHI and CBDS, respectively.
Following the merger, all operations will be consolidated in the surviving company. It is anticipated that the surviving company will report its financial results on a calendar year basis. It is also anticipated that the shareholder meeting to approve the merger will result in changes in the board of directors and officers of the surviving company, and a strong commitment to the cannabis industry. The existing PrestoDoctor telehealth operations of CBDS will be included in the combined results of operations following the merger. The telehealth operations will be integrated into the cannabis operations to provide synergies where appropriate.

Medical Marijuana Touts Positive Adjusted EBITDA In Q3, Net Revenue Of $12.2 Million
Medical Marijuana&nbsp;Inc. (PINK: <a href="http://www.benzinga.com/stock/mjna/">MJNA</a>)&nbsp;has generated $12.2 million in net revenue over the third quarter. That&#39;s a sequential increase of 11.25%.
The earnings report came on the heels of <a href="http://www.benzinga.com/pressreleases/20/10/g18118567/medical-marijuana-inc-subsidiary-kannaway-enters-cbn-market-expands-cannabinoid-portfolio">entering</a> the CBN market through its subsidiary Kannaway.
The San Diego cannabis company also reported a positive adjusted EBITDA of $175,755.
Gross profit for the quarter amounted to $9.1 million, as GAAP Sales and Marketing expenses dropped as a percentage of sales from 51.9% to 49.3%, on a sequential basis.
Kannaway&#39;s Japanese division saw its best revenue month ever in August.
In July, HempMeds &mdash;&nbsp;also a Medical Marijuana&nbsp;subsidiary &mdash;&nbsp;<a href="http://www.benzinga.com/markets/cannabis/20/07/16539231/hempmeds-partners-with-gelsons-market-to-launch-cbd-topical-and-beauty-products">partnered</a> with Gelson&#39;s Market to supply Southern California&#39;s customers with its CBD topical and beauty products.

The Week In Cannabis: Stocks Up, Many Earnings Reports, A New ETF, And More

It was a relatively quiet week ahead of the Fourth&nbsp;of July. Nonetheless, a handful of announcements had the cannabis markets buzzing.
Zynerba Pharmaceuticals Inc (NASDAQ: <a class="ticker" href="https://www.benzinga.com/stock/zyne#NASDAQ">ZYNE</a>) plummeted after the company, focused on the development of cannabinoid-based therapies for rare and near-rare neuropsychiatric disorders, said its product cadidate, Zygel, did not meet the primary and secondary endpoints of a pivotal study dubbed CONNECT-FX that evaluated the safety and efficacy of the pipeline asset in Fragile X syndrome patients.
Canadian cannabis producer Organigram Holdings (TSE: OGI) (NASDAQ: <a class="ticker" href="https://www.benzinga.com/stock/ogi#NASDAQ">OGI</a>) announced it would reduce its staff by 25%, firing 220 employees.
In some positive news, Acreage Holdings Inc. (CSE: ACRG) (OTC: <a class="ticker" href="https://www.benzinga.com/stock/acrgf#OTC">ACRGF</a>) finalized the $10-million purchase of New Jersey&#39;s Compassionate Care Foundation Inc. (CCF).
Lawn and garden care company Scotts Miracle-Gro (NYSE: <a class="ticker" href="https://www.benzinga.com/stock/smg#NYSE">SMG</a>) (FRA: SCQA) announced it would launch a $50-million venture capital fund, 1868 Ventures. Pharmaceutical company Cannabis Sativa&nbsp;Inc. (OTCQB:&nbsp;<a href="http://www.benzinga.com/stock/cbds">CBDS</a>) reported its revenue spiked 392% year-over-year, reaching $493,140 during the first three months of this fiscal year.
The Mesquite, Nevada-based company credited the growth to&nbsp;its telemedicine subsidiary, PrestoDoctor, which operates within states that have legalized medical marijuana.&nbsp;In addition to Nevada, it operates in California, New York, Oklahoma, Missouri, and Pennsylvania.
Cannabis Sativa said it intends to expand its footprint across Illinois, Ohio, Virginia, and Massachusetts. The company is also looking at expanding abroad&nbsp;in Australia, Canada, and Germany.
