Cognizant Technology Solutions Corp (NASDAQ: <a class="ticker" href="/stock/ctsh#NASDAQ">CTSH</a>) shares were on a tear following the release of a <a href="http://www.businesswire.com/news/home/20161128005481/en/Elliott-Management-Sends-Letter-Cognizant-Technology-Solutions"> letter by Elliott Management</a> that outlined a three-part "Value Enhancement Plan," which envisages a nice bump up in its stock price to $80&ndash;$90 by the end of 2017, up 50&ndash;69 percent in about a year's time.
Hedge fund Elliott is into the habit of scouting technology companies, which are seeing stagnation in growth. Its mantra has been to return capital to shareholders and reduce investment.
<h3>The Modus Operandi</h3>
<ul>
<li>Buying of big stakes in a target company.</li>
<li>Forces boards to implement changes, including increasing shareholder returns, and explore a sale.</li>
</ul>
<h3>Citrix Forced To Yield </h3>
In the past, Elliott associated with companies such as Citrix Systems, Inc. (NASDAQ: <a class="ticker" href="/stock/ctxs#NASDAQ">CTXS</a>). The fund sent a <a href="http://www.crn.com/slide-shows/virtualization/300077124/citrix-makeover-9-sweeping-changes-being-demanded-by-elliott-management.htm"> letter to the board of the company </a> after picking up a 7.1 percent stake in the company.
The very next month, the company signed a co-operative agreement with the fund, appointing Jesse Cohn of the fund, as one of the directors and setting up an operations committee for reviewing operations. The company's then CEO Mark Templeton also announced his retirement.
Citrix shares did respond and are currently trading at around $88, up from $66 levels they were trading at when the hedge fund disclosed the stake and called for changes. The hedge fund had predicted a move towards$90&ndash;$100+ by the end of 2016.
<h3>EMC Approached But Saved By Dell's Offer</h3>
Meanwhile, Elliott Management had also pursued EMC Corporation (NYSE: <a class="ticker" href="/stock/emc#NYSE">EMC</a>), which has since been bought by privately-held Dell. The hedge fund took a $1 billion stake worth, or about 2 percent in, <a href="http://www.benzinga.com/news/14/10/4907246/elliott-management-further-details-its-position-on-emc-corporation-vmware-inc-in-"> EMC in 2014,</a> with the intention of urging EMC to spin off its 80 percent share in VMware, Inc.(NYSE: <a class="ticker" href="/stock/vmw#NYSE">VMW</a>).
At that time, EMC included in its fold the namesake firm EMC, an information infrastructure provider; VMware, a virtualization company; Pivotal, a software and analytics platform provider; VCE, a converged infrastructure company; and RSA, a security firm.
<h3>LifeLock's Security Breached</h3>
Lifelock Inc (NYSE: <a class="ticker" href="/stock/lock#NYSE">LOCK</a>) was another of Elliott's target, as the latter announced a stake in the company in January this year. Elliott attributed its action to its belief that LifeLock is undervalued.
Among other tech firms, Elliott has orchestrated a sell out after picking up stakes in the following:

<li>Riverbed Technology, Inc. (NASDAQ: <a class="ticker" href="/stock/rvbd#NASDAQ">RVBD</a>), in which Elliott took a huge stake in 2014. The company was sold off to a consortium &mdash; led by private equity firm Thoma Bravo, a firm specializing in investing in technology companies.</li>
<li>Thoma Bravo also bought Compuware Corporation (NASDAQ: <a class="ticker" href="/stock/cpwr#NASDAQ">CPWR</a>) in 2014, two years after Elliott bought a stake and offered $2.3 billion for a buyout.</li>
<li>Blue Coat Systems Inc (NASDAQ: <a class="ticker" href="/stock/bcsi#NASDAQ">BCSI</a>) was also bought by Thoma Bravo in 2012 after Elliott's interference.</li>
<li>Novell, which was chased by Elliott, was bought by Thoma Bravo in 2010.</li>
</ul>
Cognizant shares closed Monday's session up 6.95 percent at $56.95.

	The Problem</h3>

	According to both O&rsquo;Malley and O&rsquo;Flynn, although mainframes play a critical role with enterprise and despite the fact 87 percent of businesses that utilize mainframes plan to continue doing so for five years or more, the IT workforce is changing.

	A transition is taking place, they said, in which baby boomers trained on mainframes are being replaced by younger IT professionals whose areas of expertise include the Web, mobility, gaming and entertainment.

	The Topaz Solution</h3>

	According to O&rsquo;Malley, <a href="http://www.compuware.com/">Compuware&rsquo;s</a> new software solution, Topaz, enables IT professionals to access both mainframe and non-mainframe data in an intuitive way.

	O&rsquo;Flynn added, &quot;We want to make sure this next generation of developers can actually do these things such as mobile big data as intuitively as possible from the paradigm that they are already familiar with.&quot;

	O&rsquo;Malley said, &quot;Topaz features an intuitive graphical UI that allows for visualization of data relationships across platforms and compliments a whole set of traditional development tools.&quot;

	This, he said, was key to making it easier for next generation IT professionals to do their jobs.

	&quot;We are actually giving them access to the mainframe on data as well,&quot; he said, &quot;so they can easily visualize the data relationships and identify the work that they have to do.&quot;

	All About Agile</h3>

	The goal, O&rsquo;Flynn said, is to help &quot;the mainframe transition to a more agile model similar to what mobile and Web have done.&quot;

	&quot;They&rsquo;ve got to get their business logic changed,&quot; he said, &quot;so they can actually compete better in a digital economy.&quot;

	A Transformative Technology</h3>

	Comparing the traditional mainframe component of an IT department, which utilizes a sequential waterfall process that takes 12 to 18 months, with the digital side utilizing an agile model is like two different cultures, O&rsquo;Malley noted.

	&ldquo;Topaz represents a transformative technology that maintains all the goodness of the mainframe but speeds that agility rate equal to what the mobile digital world demands,&rdquo; he explained.

	Quarterly Release Cycle</h3>

	In addition to the release of Topaz, Compuware&rsquo;s new agile model calls for quarterly releases, a contrast with traditional mainframe ISVs which operate on an annual release cycle.

	The new software and new agile model are designed to speed things up on the customer side as well.

	&ldquo;What this is doing,&rdquo; O&rsquo;Flynn said, &ldquo;is it is allowing them to respond at a rate that you could be sitting there November 1 with an idea and before black Friday came you could actually create modifications to applications to support that idea.&rdquo;

Following a buyout by Chicago-based <a href="http://www.benzinga.com/topic/thoma-bravo">Thoma Bravo</a> LLC, Detroit-based <a href="http://www.benzinga.com/topic/compuware">Compuware Corporation</a> was taken private and split in two.

	One of the two new components retained the Compuware name, will remain in Detroit and will be headed by new CEO, Chris O&rsquo;Malley.

	Benzinga spoke with O&rsquo;Malley recently about the new Compuware and his vision for the company moving forward.

	The Compuware name is established and well-known, having existed 41 years prior to the recent buyout.

	Under privatization and with its singular mainframe focus, Compuware becomes the world&rsquo;s largest software company exclusively devoted to optimization of mainframe environments.

	Startup Mentality</h3>

	Despite the &ldquo;world&rsquo;s largest&rdquo; moniker, O&rsquo;Malley said the company planned to adopt a startup mentality.

	This, he said, would support an &ldquo;agenda of innovation where our strategy is, every quarter like clockwork, to introduce updates to the existing base of technology as well as bringing out net new products.&rdquo;

	The Clock Is Ticking</h3>

	Speaking directly to the company&rsquo;s mission, O&rsquo;Malley said Compuware planned to launch new product early in 2015.

	&ldquo;The idea that Compuware would create a dedicated mainframe company that lives on its own results is extremely exciting to me,&rdquo; O&rsquo;Malley said, adding, &ldquo;I believe there&rsquo;s a significant base of unmet needs.&rdquo;

	Meeting Those Needs</h3>

	Those unmet needs exist, O&rsquo;Malley said, despite the fact the mainframe market has been around more than 50 years.

	Meeting those needs, according to O&rsquo;Malley, requires a new strategy, thanks in part to a changing landscape in which a new generation of IT leaders lacks experience with the core asset of most global enterprise &ndash; the mainframe.

	The new strategy, he said, involves &ldquo;creating a continuous stream of innovation that you would see in a startup which you haven&rsquo;t seen in 40 years in the mainframe space.&rdquo;

	Laying The Groundwork</h3>

	&ldquo;We&rsquo;ve changed everything,&rdquo; O&rsquo;Malley said. &ldquo;We&rsquo;ve changed the marketing so we have become much more of a social marketer.&rdquo;

	&ldquo;We&rsquo;ve completely retooled development,&rdquo; he added, &ldquo;and gone from the traditional &lsquo;waterfall&rsquo; model that usually has 12 to 18 month development cycles [...] (to one that is) quarterly with an &lsquo;agile&rsquo; methodology.&rdquo;

	What comes next, he said, would be a &ldquo;series of launches in the quarters to come that we think will reset the expectations and the financial results of this firm.&rdquo;

Compuware's Chris O'Malley On The Company's New 'Startup Mentality'

Compuware Corporation (NASDAQ: <a class="ticker" href="/stock/cpwr#NASDAQ">CPWR</a>) announced that at the special meeting of Compuware shareholders held earlier today, shareholders voted to approve the proposed definitive merger agreement with Thoma Bravo, LLC. 
The transaction follows a thorough review by the Compuware Board of Directors of strategic options for Compuware. More than 99% of the shares voting at the special meeting voted in favor of the adoption of the merger agreement. The CEO of Compuware, Bob Paul, stated, “The acquisition by Thoma Bravo provides a great value proposition for Compuware's shareholders and we are very pleased with the level of support this transaction has received from our shareholders.” 
Upon completion of the merger, valued at approximately $2.4 billion, Compuware shareholders will have received an aggregate value of $10.75 per share for each share of Compuware common stock they own as of the effective time of the merger, which includes a net cash payment of $10.389188 per share of common stock (after deducting the corporate level taxes associated with the Covisint spin-off to Compuware shareholders) as well as the per-share value of the Covisint shares distributed to holders of Compuware equity as of October 20, 2014, the record date for the Covisint spin-off. The companies currently expect the merger to be completed later this month, following the satisfaction or waiver of all conditions to the merger.

Compuware Corporation (Nasdaq: <a class="ticker" href="/stock/cpwr#Nasdaq">CPWR</a>), the technology performance company, today announced that its board of directors has approved the distribution of all of its equity interest in Covisint (Nasdaq: <a class="ticker" href="/stock/covs#Nasdaq">COVS</a>) to Compuware shareholders and holders of Compuware restricted stock units and has determined the approximate distribution ratios, record date and distribution date for the spin-off. 
The Compuware board of directors has authorized the distribution to Compuware shareholders of all of its shares of Covisint common stock (31,384,920 shares as of today) on October 31, 2014, the distribution date, as a pro rata dividend on shares of Compuware common stock, and on shares of Compuware common stock deliverable under restricted stock units relating to Compuware common stock (“RSUs”), outstanding on October 20, 2014, the record date. Based on the number of Compuware shares outstanding and shares deliverable under RSUs as of October 8, 2014, holders of Compuware common stock are expected to receive approximately 0.1402 shares of Covisint common stock in the distribution with respect to each outstanding share of Compuware common stock they own at the close of business on the record date, and holders of RSUs are expected to receive approximately 0.1402 shares of Covisint common stock in the distribution with respect to each share of Compuware common stock deliverable under the RSUs they hold at the close of business on the record date. The actual distribution ratio for the Covisint common stock to be distributed per share of Compuware common stock and per RSU will be determined based on the actual number of shares of Compuware common stock outstanding on the record date and shares deliverable under RSUs outstanding on the record date.

Fractional shares of Covisint common stock will not be distributed to Compuware shareholders or RSU holders. Instead, the fractional shares of Covisint common stock will be aggregated and sold in the open market, with the net proceeds distributed pro rata in the form of cash payments to Compuware shareholders and RSU holders who would otherwise receive Covisint fractional shares. 
The spin-off is expected to be taxable for U.S. federal income tax purposes. Thus, the value of the Covisint common stock, as well as any cash received in lieu of fractional shares, will generally be taxable. Compuware shareholders and RSU holders should consult their tax advisors with respect to U.S. federal, state, local and foreign tax consequences of the distribution, including, without limitation, the potential imposition of withholding taxes on the distribution of Covisint common stock. 
Beginning on October 16, 2014 (the “ex-dividend date”), and continuing through the close of trading on the NASDAQ Global Select Market (“Nasdaq”) on October 31, 2014, the distribution date, the following markets will exist in Compuware and Covisint common stock (each of which will be traded on the Nasdaq): 
Compuware common stock “regular way” market (Nasdaq: <a class="ticker" href="/stock/cpwr#Nasdaq">CPWR</a>): Shares of Compuware common stock that will continue to trade in the regular way market, the same market in which they are currently traded. Beginning October 16, 2014, trades in Compuware common stock will not include any entitlement to shares of Covisint common stock to be distributed pursuant to the distribution. Holders of shares of Compuware common stock who sell Compuware shares, from and after the October 16, 2014 ex-dividend date and through the October 31, 2014 distribution date, will retain their right to receive Covisint shares, unless they separately sell such right in the Covisint “additional shares when issued” market (see below). 
Covisint common stock “regular way” market (Nasdaq: <a class="ticker" href="/stock/covs#Nasdaq">COVS</a>): The regular way market is the same market for Covisint common stock that has been in existence since Covisint commenced its initial public offering of common stock in September 2013. 
Covisint common stock “additional shares when issued” market (Nasdaq: COVSV): The additional shares when issued market for Covisint common stock relates to the shares of Covisint common stock that will be distributed to Compuware shareholders on the distribution date. 	Dollar General (NYSE: <a class="ticker" href="/stock/dg#NYSE">DG</a>) <a href="http://www.benzinga.com/analyst-ratings/analyst-color/14/09/4818749/susquehanna-says-dollar-generals-bid-appears-desperate">increased its bid</a> for Family Dollar (NYSE: <a class="ticker" href="/stock/fdo#NYSE">FDO</a>) to $80 per share, beating Dollar Tree&rsquo;s (NASDAQ: <a class="ticker" href="/stock/dltr#NASDAQ">DLTR</a>) most recent offer. Dollar General indicated it is willing to pay the $500 million breakup fee and divest up to 1,500 stores.

	Norwegian Cruise Line Holdings (NASDAQ: <a class="ticker" href="/stock/nclh#NASDAQ">NCLH</a>) shares shot up 11.1 percent to $36.99 after the company announced its plans to acquire Prestige Cruises International for $3.025 billion.

	Shares of Staples (NASDAQ: <a class="ticker" href="/stock/spls#NASDAQ">SPLS</a>) got a boost, shooting up 8.1 percent to $12.63.<a href="http://www.benzinga.com/analyst-ratings/analyst-color/14/09/4818720/credit-suisse-upgrades-staples-on-possible-merger-with-o"> Credit Suisse upgraded</a> Staples from Market Perform to Outperform.

	Shares of Conns (NASDAQ: <a class="ticker" href="/stock/conn#NASDAQ">CONN</a>) were down 30.9 percent to $31.00 after the company reported <a href="http://www.benzinga.com/news/earnings/14/09/4817342/update-conns-posts-downbeat-q2-earnings-cuts-full-year-forecast">weaker than expected </a>second-quarter earnings and cut its full-year forecast.

	Finisar (NASDAQ: <a class="ticker" href="/stock/fnsr#NASDAQ">FNSR</a>) shares tumbled 6.8 percent to $18.94. Analysts at<a href="http://www.benzinga.com/analyst-ratings/downgrades/14/09/4817380/jefferies-downgrades-finisar-to-hold-shares-fall"> Jefferies downgraded Finisar</a> from Buy to Hold and lowered the target price from $25 to $19.

	Exelixis (NASDAQ: <a class="ticker" href="/stock/exel#NASDAQ">EXEL</a>) was down, falling 55.3 percent to $1.85 after the company announced its plans to lower around 70 percent of its workforce. The company reported that its phase 3 pivotal trial of cabozantinib did not meet primary endpoint.

	Global Markets</h3>

	Asian markets kicked off the week on a high note. The Shanghai index gained 1.4 percent with Hong Kong&rsquo;s Hang Seng remaining flat with a 0.01 percent drop. Japan&rsquo;s Nikkei added 1.2 percent in value on the session.

	European results, on the other hand, were mixed. The Euro Stoxx index, which tracks 50 blue chips added 0.2 percent, London&rsquo;s FTSE gained 0.1 percent and France&rsquo;s CAC gave up 0.03 percent.

	Crude futures made a massive three percent move down to $93.02. The commodity looks to be sitting near some support.

	Gold futures make a similar jump, selling off 1.6 percent. The commodity was last trading at $1,266.50.

	The Powershares ETF (NYSE: <a class="ticker" href="/stock/uup#NYSE">UUP</a>), which tracks the value of the U.S. dollar versus a basket of foreign currencies, jumped 0.3 percent, extending last week&rsquo;s sharp increase in the value of the dollar.

	Bonds</h3>

	Yields moved higher amid the equity market sell off. The iShares 20+ Year Bond ETF (NYSE: <a class="ticker" href="/stock/tlt#NYSE">TLT</a>), which tracks the performance of a basket of treasury bonds with maturity greater than 20 years, sold off 1.7 percent.

Evercore Partners Downgrades Compuware Corporation to Equalweight

Compuware (NASDAQ: <a class="ticker" href="/stock/cpwr#NASDAQ">CPWR</a>) agreed to be acquired Tuesday for $2.5 billion or $10.92 a share by the private equity firm Thoma Bravo LLC.

	Shares of Compuware were halted and the stock last changed hands at $10.58 a share.

	The Detroit-based software developer&#39;s shareholders will receive a net cash payment of $10.25 a share, excluding an estimated $0.18 cents a share for taxes owed in connection with the spin-off of Covisint (NASDAQ: <a class="ticker" href="/stock/covs#NASDAQ">COVS</a>), which held an initial public offering last year.

	Shareholders will also receive a distribution of the remaining shares of Covisint that are owned by Compuware, representing a value of about $0.67 a share based on the closing price of Covisint on Friday, August 29.

	The deal is subject to shareholder approval and is expected to close by early 2015. Elliott Management, which holds a 9.5 percent stake in Compuware, agreed to favor the deal.

	Elliott made an unsolicited offer to acquire Compuware in 2012 for $11 a share.
