Consumer Business Spin-off: Masimo is currently in discussion to spin off its Consumer business with an undisclosed third party. The company entered into a non-binding term sheet agreement in May to sell the majority stake in its consumer audio and consumer health businesses. The third party offered to acquire a stake in MASI&#39;s consumer business for a purchase price of $850-$950 million, on a cash and debt-free basis, following the completion of six weeks of due diligence.
MASI added the majority of its Consumer business with the acquisition of Sound United in 2022 for more than $1 billion. The current offer price for the business seems to be lower than the acquisition price, implying a potential loss for its shareholders.
Rift With Politan: Masimo has been facing challenges from activist investor, Politan, since last year. Politan acquired a stake in Masimo last year and added two members to the latter&#39;s board. Politan has been trying to gain control of the board since then. Currently, the activist investor has nominated members against MASI&#39;s CEO and founder, Joe Kiani, in a proxy vote for electing new board members. A potential loss of control over the board for Kiani may lead to uncertain times. Although Politan is claiming that it will help boost shareholders&#39; value after gaining the board&#39;s control, it may take some time to get reflected in the company&#39;s share price.

Nominate A Cannabis Leader For The 2024 'Bob Fireman Award' At The Benzinga Cannabis Capital Conference

Allegiant Travel Company (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ALGT#NASDAQ">ALGT</a>) shares took a nosedive on Thursday after company filings revealed that the company is suspending its dividend. The airline industry has <a href="https://www.benzinga.com/topic/airline-industry">struggled in 2024</a> with rising costs and margin contraction.
What Happened: Allegiant revealed the dividend suspension in an 8-K filing on Thursday — the same day the company <a href="https://www.prnewswire.com/news-releases/allegiant-announces-president-greg-anderson-as-next-ceo-302200245.html">announced</a> that Gregory C. Anderson will be the next CEO as of Sept. 1. 
Anderson will succeed Maurice J. Gallagher, who will be retiring.
&#8220;In anticipation of capital requirements related to fleet investments, the Company is suspending its quarterly cash dividend effective immediately,&#8221; the filing read.
Allegiant previously issued an annual dividend of $2.40 at a 4.6% yield, according to data from <a href="http://benzinga.com/pro">Benzinga Pro</a>.
The filing also revealed that Gregory C. Anderson, the company&#8217;s president, would also serve as chief executive officer. Anderson will now carry out both roles.
Why it Matters: The filing is unclear as to the extent of the fleet&#8217;s capital requirements. According to annual filings, company capital expenditures have ticked up in recent years.

RBC Capital Markets On Ally Financial
Analyst Jon Arfstrom reiterated an Outperform rating, while lifting the price target from $46 to $49.
Ally Financial announced earnings of 86 cents per share, amid higher electric vehicle originations driving $92 million in tax credits or 30 cents per share in earnings, Arfstrom said in a note. "Fundamentals were driven by margin improvement, stable balance sheet trends, and seasonally lower losses," he added.
With margin inflection taking hold, the company is expected to generate "consistent margin expansion in the coming quarters, which is the primary driver of expected higher earnings and returns," the analyst stated. "Credit expectations remain important, and we see an improved origination mix as positive drivers for later in 2024 and beyond," he further wrote.

BMO Capital Markets On Ally Financial
Analyst James Fotheringham maintained a Market Perform rating and price target of $39.
Ally Financial's core earnings came in at 70 cents per share, surpassing consensus of 64 cents per share, "with lower-than-expected credit provisions (lower net losses) more than offset disappointing revenues (lower NII and fees)," Fotheringham wrote in a note.
Management announced disappointing credit guidance, with 2024 NCOs of 145-150 basis points (bps) and retail auto NCOs of 210 bps, the analyst stated. "We lower our ALLY core EPS estimates by -1% in 2024E (to $2.86 from $2.90), -1% in 2025E (to $5.57 from $5.64), and -1% 2026E (to $6.49 from $6.55) due predominately to higher-than[1]previously modeled share counts (from lower expected share repurchases)," he further said.
ALLY Price Action: Shares of Ally Financial were down 2.05% to $42.54 at the time of publication on Thursday.

Kupferberg and the Street modeled 9% Square GPV growth for the second quarter, which was steady compared to the first quarter, but noted investors are braced for a modest miss on this metric based on high-frequency data. Given that shares are up 15% in the last month, this could limit the potential for the second quarter to be a positive catalyst, Kupferberg said.
The analyst recognized concerns around U.S. GPV growth and SMB but noted they have been over-discounted.
Block&#8217;s increased focus on profitability now enables investors to value the stock on adjusted operating income and/or GAAP EPS, which should help put a floor in shares, the analyst said.
Kupferberg noted Block is undervalued, and its high-quality business model is underappreciated.
The analyst projected 2024 revenue and EPS of $24.35 billion and $3.02.
