Following <a target="_blank" href="https://www.benzinga.com/news/large-cap/24/07/39651178/canadian-regulators-ok-glencore-teck-resources-deal-future-m-a-sanctions-need-exceptional-circumst" rel="noreferrer noopener">an acquisition of</a> Teck's (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/TECK#NYSE">TECK</a>) coal assets, most shareholders preferred maintaining the lucrative unit.
Glencore's initial plan to divest its coal business stemmed from environmental considerations. However, 95% of shareholders participating in the consultation advocated for retaining the coal and carbon steel materials business.

Shareholders pushed back against the proposed spinoff due to the coal unit's significant profitability, particularly in the current global energy landscape.
The coal business benefited from tight supply conditions and high global demand, as a lack of new investments created a favorable environment for existing players.
While coal prices subsided from an initial shock in 2022, they remained elevated compared to the long-term average.
This situation made the coal unit an integral part of Glencore's strategy, providing the cash flow needed to support other growth areas and return value to shareholders.
Interestingly, Glencore's decision aligns with the environmental, social, and governance (ESG) policies of major shareholders like BlackRock, which owns 7.32%.
These policies restrict ownership of pure-play coal companies. Thus, by retaining the coal unit within Glencore, these shareholders can maintain their investment while benefiting from its profitability.
Despite failing to acquire Teck in a $22.5b bid a year ago, Glencore acquired its coking coal assets, further bolstering its position in the coal market.
Teck's decision to divest from coal was part of a broader industry trend, but Glencore saw an opportunity to enhance its portfolio and sustain its profitability.
In the latest <a target="_blank" href="https://www.glencore.com/.rest/api/v1/documents/static/31bcbe31-4250-42cd-b6d8-1a7cb48efbd2/GLEN-2024-Half-Year-Report.pdf" rel="noreferrer noopener">briefing</a>, CEO Gary Nagle mentioned that the company would consider buying more steelmaking coal assets if the price is right.
Still, the first half of the year saw Glencore's earnings drop.
The company reported core first-half earnings of $6.34 billion, a 33% decline from the previous year. Its commodity trading business also experienced a sharp earnings decrease, with profits of $1.5 billion in the first half, as lower market volatility provided fewer opportunities for traders.

The Canadian government approved Glencore&#8216;s (OTCPK: GLCNF) acquisition of Teck Resources (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/TECK#NYSE">TECK</a>) metallurgical coal business Elk Valley Resources (EVR) <a href="https://www.benzinga.com/m-a/24/05/39095107/glencore-postpones-coal-spinoff-discussions-until-teck-deal-closes">for more than $6.93 billion</a>. 
The deal is expected to close on July 11, with Glencore acquiring a 77% stake in the British Columbia-based company. After that, the Swiss multinational miner could explore a <a href="https://www.benzinga.com/m-a/24/05/39095107/glencore-postpones-coal-spinoff-discussions-until-teck-deal-closes">spinoff of its coal business</a>.
This approval follows Glencore's attempt last year to execute a hostile takeover of Teck Resources, Canada's largest diversified miner, which faced strong objections from the government and rejection from shareholders. Eventually, Glencore shifted focus and successfully negotiated to acquire Teck&#8217;s metallurgical coal business.
&#8220;The acquisition of EVR will further enhance the quality of our portfolio, broadening our ability to provide high-quality steelmaking coal, an important transition-enabling commodity, to customers around the world as well as contributing significant expected cashflows to the Glencore group,&#8221; <a href="https://www.glencore.com/media-and-insights/news/glencore-receives-final-regulatory-approval-for-the-acquisition-of-elk-valley-resources">said</a> Glencore CEO Gary Nagle.

To secure approval, Glencore made several commitments to ensure the stability and sustainability of the Canadian operations. These include:

<li>Maintaining a Canadian head office for EVR in Vancouver and regional offices in Calgary and Sparwood for at least ten years.</li>
<li>Ensuring the majority of EVR's directors are Canadian for the next decade.</li>
<li>Filling at least 66% of all executive and senior management roles with Canadians.</li>
<li>Maintaining significant employment levels at EVR for at least five years.</li>
<li>Adhering to binding environmental commitments, extending stewardship of the assets until 2050, beyond existing regulatory obligations.</li>
<li>Engaging constructively and meaningfully with Indigenous Nations in the Elk Valley region.</li>
</ul>
For Teck, the sale of the coal business marks a new era. Teck CEO Jonathan Price stated the company will now &#8220;entirely focus on providing metals that are essential to global development and the energy transition,&#8221; such as copper.
The proceeds from the sale are expected to help Teck with enough funding to increase copper production by 30% as early as 2028. Shareholders will also benefit, with Teck planning to return $2.6 billion and reduce debt by up to $2 billion.
The approval of this deal is part of Canada's broader strategy to regulate foreign capital in the mining sector more strictly.
&#8220;Canada welcomes foreign investment and acknowledges its importance to the mining sector. However, the government will not hesitate to act when it is of the view that a transaction would be harmful to Canada's economic interests or the environment,&#8221; <a href="https://www.canada.ca/en/innovation-science-economic-development/news/2024/07/ministerial-statement-on-the-investment-canada-act-review-of-glencores-acquisition-of-tecks-coal-assets.html">said</a> Industry Minister François-Philippe Champagne.
&#8220;Future mergers and acquisitions involving Canadian mining firms engaged in critical minerals operations will only be sanctioned under the most exceptional of circumstances,&#8221; he added.

The non-brokered private placement has been increased to 27.5 million units for gross proceeds of CA$3.85 million from the previously announced 17,857,143 units for gross proceeds of CA$2.5 million, a rise of 54%.
Glencore Canada, a wholly owned subsidiary of Glencore International Plc (OTC: <a class="ticker" href="https://www.benzinga.com/stock/glcnf#OTC">GLCNF</a>), has agreed to increase their current position by buying a further 15 million units of Stillwater stock for proceeds of CA$2.1 million. Glencore announced a 9.99% strategic equity investment in Stillwater in 2023.
According to the company, its 100%-owned flagship project, Stillwater West in Montana, is in &quot;one of the world&#39;s largest and highest-grade PGE-Ni-Cu regions adjacent to high-grade Sibanye-Stillwater&#39;s PGE Mines with over 14 Moz (million ounces) past Pd+Pt (palladium and platinum) production.&quot;
The latest private offering is expected to close on or about April 26 and is subject to customary conditions, such as acceptance by the TSX Venture Exchange.
Stillwater is a mineral exploration company focused on the Stillwater West critical minerals project.
A 2023 mineral resource estimate expanded the project&#39;s inaugural resource by 62%, the company said, and defined 1.6 billion pounds of nickel, copper and cobalt and 3.8 Moz (million ounces) palladium, platinum, rhodium, and gold in a constrained model totaling 255 million tonnes (Mt) at an average grade of 0.39% total estimated recovered nickel equivalent (or 1.19 grams per tonne palladium equivalent or Pd Eq).
The selective mining high-grade component yielded 11.6 Mt at 1.05% total nickel equivalent (or 3.24 grams per tonne total Pd Eq) as 0.56% nickel (Ni), 0.33% copper (Cu), 0.03% cobalt (Co) with 0.54 grams per tonne (g/t) Pd, 0.27 g/t Pt, 0.15 g/t gold (Au) and 0.019 g/t rhodium (Rh).
<h2>The Catalyst: New Copper Cycle on the Way?</h2>
So far this year, copper, a metal very important to the energy transition, has jumped more than 12%. It was US$4.53 on Monday afternoon.

Technical Analyst Clive Maund noted the metals markets &quot;at large are entering a major bull market, with strong gains already being seen in copper, gold, and silver over the past month or two.&quot;
But &quot;copper is a special case with a huge supply shortfall incoming due to the combination of an explosion in demand due to the expanding use of copper in batteries for EVs and power storage, etc., coupled with a supply shortfall due to the dearth of major new copper discoveries in recent years&quot; Maund wrote. &quot;It just so happens that Vortex is exploring for copper (and) gold in highly prospective areas.&quot;
A report from Couloir Capital last October rated the company as a &quot;Buy&quot; for potential investors and named a target price of CA$0.35 per share, pointing to Stillwater&#39;s plans to advance its Montana properties with an expanded resource and drill targets on Chrome Mountain and Iron Mountain.

In contrast to Glencore&#8217;s intentions, several top investors have voiced opposition, according to Reuters, arguing for the need for a more gradual transition away from coal. They believe that a responsible wind-down of coal operations would better serve the interests of both shareholders and the environment, minimizing the impact on workers and communities.
"Companies need to have credible strategies that support real-world decarbonization," said Andrew Mason, head of active ownership at Glencore's shareholder Abrdn (OTC:<a class="ticker" href="https://www.benzinga.com/stock/SLFPY#OTC">SLFPY</a>). Mason clarified that a timed phase-out would create a better transition with minimal impact on workers and communities.
Despite Glencore&#8217;s commitment to reducing emissions, including a 15% reduction target by 2026 and a 25% reduction target by 2030, the recent emission surge underscores challenges in aligning production with climate goals. The company&#8217;s emissions remain a contentious issue, particularly concerning Scope 3 emissions originating from customer usage of commodities like coal and oil. The move to withdraw the coal production cap coincides with activist campaigns urging Glencore to retain its coal division rather than divest it.
The new plan sets a 25% emission reduction deadline by 2030 and aims to achieve Net Zero by 2050. Still, moving the corporate goalposts is drawing criticism and raising questions about Glencore's commitment to climate action. Naomi Hogan, Company Strategy Lead at the Australasian Centre for Corporate Responsibility, <a href="https://www.accr.org.au/news/coal-miner-glencore-defies-investors-places-reckless-bet-against-the-energy-transition/">issued</a> a stark warning.
"To have the world's largest thermal coal exporter effectively walking away from Paris alignment is an enormous risk to Glencore's investors and a risk to all portfolios exposed to the systemic risks of climate change. It represents a reckless bet against an orderly and timely energy transition," she said.

Investors Push For Glencore To Keep Coal Assets Despite Rising Emissions

Teck Resources Ltd (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/TECK#NYSE">TECK</a>), Canada&#8217;s largest diversified miner, surpassed earnings estimates for the fourth quarter of 2023, propelled by robust steelmaking coal sales, record copper production and<a href="https://www.benzinga.com/analyst-ratings/analyst-color/24/02/36995232/positive-outlook-for-copper-miners-in-2024-freeport-has-11-upside-while-this-small-"> favorable copper prices</a>.
"We had strong fourth quarter performance across our business, generating adjusted earnings before interest, taxes, depreciation and amortization (EBITDA) of $1.7 billion in the quarter, returning cash to shareholders and advancing ramp-up of our Quebrada Blanca operations, resulting in Teck's record quarterly copper production," <a href="https://www.teck.com/news/news-releases/2024/teck-reports-unaudited-fourth-quarter-results-for-2023">said</a> President and CEO Jonathan Price, noting a positive development regarding germanium, a rare metal the firm produces in its Trail Operations facility in British Columbia.
&#8220;We have always been able to sell the production that we generate from that facility,&#8221; he said, clarifying pricing improved owing to Chinese restrictions.

Higher copper prices, with a 2% increase in realized copper prices, contributed to Teck&#8217;s overall positive financial results. 
Total copper output was 296,000 tons for the fourth quarter of 2023, up from 270,000 tons in the same period the previous year. Zinc production also witnessed a significant uptick, with zinc in concentrate reaching 182,000 tons, up from 143,000, and refined zinc production totaling 70,000 tons, up from 46,000.
Teck&#8217;s strategic priorities for 2024 include securing growth in its copper portfolio. The company plans to extend the life of its British Columbia HVC mine and initiate the permitting process for San Nicolas in Mexico. Despite the strong performance, Teck maintained its copper guidance for the year at 465,000 to 540,000 tons and zinc guidance at 565,000 to 630,000 tons.
The management noted progress with the planned separation of base metals and steelmaking coal businesses. The sale of the coal unit to Glencore PLC (OTCPK: GLCNF),<a href="https://www.benzinga.com/news/23/06/32815784/glencores-strategic-play-a-proposal-to-acquire-teck-resources-steelmaking-coal-business"> announced last year</a> for $9 billion, is expected to close by the third quarter of 2024. The deal, subject to approval from the Canadian government, marked a strategic shift towards focusing on its copper business.
&#8220;The regulatory process is still going well, we are still confident of closing that transaction no later than the third quarter of 2024. So, all on track at this stage,&#8221; Price said.
Following the earnings results, Teck announced a dividend of $0.125, to be paid on March 28, to shareholders of record at the market close on March 15. In addition, Teck's board has authorized a stock buyback of up to $500 million. 
These actions align with Teck's Capital Allocation Framework, which envisions a minimum of 30% of available cash flow for distributions to shareholders.

Teck Resources Achieves Record Copper Production, Targets To Close Glencore Deal By Q3

Peru has given the greenlight for a $2 billion expansion at the Antamina copper and zinc mine. 
One of the largest Peruvian mines boasts ownership from prominent companies such as Glencore PLC (OTCPK: GLCNF), BHP Group Ltd (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BHP#NYSE">BHP</a>), Teck Resources (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/TECK#NYSE">TECK</a>) and Mitsubishi Corporation (OTCPK: MTSUY) and provides a significant contribution to Peru's economy and global copper supply.
The expansion project, approved through a Modification of the Environmental Impact Study (MEIA), aims to extend the mine&#8217;s productive lifespan from 2028 to 2036.
"The MEIA is an important milestone for Antamina and the Peruvian mining industry, and reaffirms our commitment to the country and the Ancash region,&#8221; <a href="https://www.antamina.com/noticias/gobierno-peruano-aprueba-modificacion-estudio-de-impacto-ambiental-meia-antamina/">said</a> Victor Gobitz, CEO of Compañía Minera Antamina, the mine's operator.

Situated in the Andes, around 270 kilometers north of Lima, the Antamina mine ranks among the world's top copper mines, producing 560,000 tons in 2022. However, in 2023, the production slowed to 435,000 tons.
The project plans to expand Antemina's area by 25% and deepen the open pit by 150 meters. The expected ore extraction will be up to 173,000 tons a day, with a waste movement of up to 742,000 tons.
The site will also receive a replacement for the primary ore crushing station and a new Waste 2 rock crusher. Two new tunnels will provide smother circulation of ore and waste, while the waste storage will increase by 26%. Dam storage capacity will expand to 1,572 million tons from the current 1,100 million tons.
With falling production and a shortage of new projects, Peru is looking to defend its position as the second-largest copper mining country by improving bureaucracy and expanding existing projects. The Antamina approval arrived days after President Dina Boluarte appointed Romulo Mucho, a veteran mining engineer, as the new energy and mining minister, <a href="https://www.reuters.com/world/americas/perus-president-replaces-economy-energy-ministers-2024-02-13/">per</a> Reuter's report.

Mining Milestone: Peru Gives Nod To Expansion Of Key Copper, Zinc Mine

Glencore PLC&nbsp;(OTC: <a class="ticker" href="https://www.benzinga.com/stock/glcnf#OTC">GLCNF</a>) reportedly plans to build a pilot project for an electric vehicle (EV) battery recycling plant outside Italy while eyeing the island of Sardinia for a larger facility.
The company&#39;s decision to relocate the testing and demonstration plant away from Portovesme in Sardinia would allow for faster project commissioning, according to Reuters.
In a letter sent by Glencore&#39;s Sardinian unit to Italy&#39;s environment and industry ministries, the company said it expects new European Union regulations on critical raw materials for decarbonization to accelerate the permitting process for its hub project.
As per the report, Glencore also confirmed it plans to continue restructuring its existing industrial activities in Portovesme.

The phase will help boost the recovery of lithium carbonate and strengthen Li-Cycle&#39;s first-mover advantage in Europe.&nbsp;
Phase 1 project is expected to produce up to 1,500 tonnes of lithium carbonate, as well as up to 3,000 tonnes of contained nickel and up to 500 tonnes of contained cobalt per year.
The company expects the Phase 2 facility to have 50,000 to 70,000 tonnes of black mass processing capacity, and to produce up to 16,500 tonnes of lithium carbonate, as well as up to 18,000 tonnes of contained nickel and 2,250 tonnes of contained cobalt per year.
The Portovesme Hub is being designed to be able to process all forms of lithium-ion based black mass, including lithium iron phosphate (LFP) materials.
The black mass processed at Phase 1 and Phase 2 is expected to be supplied from Li-Cycle&#39;s European Spoke recycling network and Glencore&#39;s commercial network.&nbsp;
Both phases will utilize existing infrastructure and equipment at Glencore&#39;s existing Portovesme metallurgical complex and leverage Li-Cycle&#39;s hydrometallurgical process to produce critical battery materials, including nickel, cobalt and lithium, from recycled battery content.
The full-scale Phase 2 Portovesme Hub is expected to advance to construction and begin commissioning in late 2026 to early 2027.

The acquisition is supported by $100 million commitments to subscribe for ACG equity from each of Glencore, Stellantis and La Mancha, and a $100 million prepayment from PowerCo.
