U.S. stocks were lower, with the Dow Jones index falling over 700 points on Friday.
Shares of TD Synnex Corp (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SNX#NYSE">SNX</a>) rose sharply in today's session after the company reported <a href="https://www.benzinga.com/25/01/42915528/td-synnex-shares-delivers-earnings-beat-and-boosts-dividend-by-10">better-than-expected quarterly financial results.</a>
Quarterly revenue of $15.85 billion, up 10% Y/Y, exceeded the analyst view of $15.22 billion. The Fremont, California-based company reported an adjusted EPS of $3.09, beating the street view of $3.05.
TD Synnex shares jumped 5.5% to $128.76 on Friday.

Shares of semiconductor stocks are trading lower amid a push by US President Biden to curb AI chip exports to China.

<h2 class="wp-block-heading">New On The Block</h2>
TD Bank, or Toronto-Dominion Bank (TSX:<a class="ticker" href="https://www.benzinga.com/stock/TD#TSX">TD</a>), will consider selling its 10.1% stake in Charles Schwab Corp. The sale is part of a strategic review stemming from the Canadian bank&#8217;s <a href="https://www.benzinga.com/government/24/10/41271816/td-bank-to-face-3b-penalty-growth-limits-in-us-settlement-over-anti-money-laundering-failures">U.S. money-laundering scandal</a>. 
Incoming TD Bank CEO Raymond Chun confirmed the process to <a href="https://www.bloomberg.com/news/articles/2025-01-07/td-mulling-fate-of-schwab-stake-in-review-incoming-ceo-says?srnd=phx-deals">Bloomberg</a>.
Meanwhile, Eyenovia Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/EYEN#NASDAQ">EYEN</a>) hired New York-based investment bank Chardan to explore either a reverse merger or sale. The ophthalmic technology company is keen on conserving cash while continuing to develop its <a href="https://www.benzinga.com/general/biotech/24/08/40514648/why-is-eye-disease-focused-eyenovia-stock-trading-higher-on-thursday">Gen-2 Optejet device</a>. 
By cutting spending by 60%, Eyenovia is stretching its financial resources to give itself more time to consider potential opportunities. Whether that turns out to be a deal remains to be seen.
Smart Share Global Ltd (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/EM#NASDAQ">EM</a>) is also considering buyout offers. So far, only Trustar Capital offered to take the company private at 62 cents per share. That&#8217;s <a href="https://www.benzinga.com/news/small-cap/25/01/42809956/why-is-smart-share-global-stock-surging-premarket-on-monday">a tempting 74.8% premium</a>. 
Smart Share boasted a financial war chest of $440.9 million as of mid-2024.
Lastly, Warburg Pincus is exploring a sale of Boca Raton, Florida-based medical software firm Modernizing Medicine. Reuters reports that the auction could attract bids north of $5 billion.
<h2 class="wp-block-heading">Off The Block</h2>
Revelyst, the former Vista Outdoor Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/VSTO#NYSE">VSTO</a>) unit that includes bicycle-related brands, is officially owned by investment firm Strategic Value Partners as part of a $1.125 billion deal. 
True Religion, the jeans brand that&#8217;s as resilient as its famously chunky stitching, has a new owner. After surviving <a href="https://www.latimes.com/business/story/2020-04-13/true-religion-files-for-bankruptcy-again-as-denims-allure-fades">two bankruptcies</a>, the brand began collecting offers from apparel companies and private equity firms, CNBC <a href="https://www.cnbc.com/2024/02/15/jeans-brand-true-religion-exploring-sale.html">reported</a> last year. Acon Investments, teaming up with a fund led by American Eagle CEO Jay Schottenstein, emerged as a winning bidder.

Houston-based gas power producer Calpine received a $30-billion offer from Constellation Energy (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CEG#NASDAQ">CEG</a>), a nuclear power giant known for its &#8220;emissions-free&#8221; messaging. The deal marks a significant pivot for Constellation, which spun off from Exelon in 2022 and has since doubled its share price. Calpine, previously taken private in 2018 for $17 billion by Energy Capital Partners, Access Industries and CPP Investments, would bring a major gas-fired portfolio under Constellation&#8217;s umbrella, forcing a rethinking of its <a href="https://www.benzinga.com/topic/green-energy">green-energy branding</a>.
Walt Disney Co (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/DIS#NYSE">DIS</a>) and Fubotv Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/FUBO#NYSE">FUBO</a>) have agreed to merge their <a href="https://www.benzinga.com/general/entertainment/25/01/42857294/fubo-gets-fairy-tale-outcome-analyst-says-disney-deal-lowers-risks-overhang-on-stock">live TV streaming businesses</a>. Disney will take a 70% ownership stake in Fubo and the combined entity will become the second-largest live TV streamer in North America, with 6.2 million subscribers — trailing YouTube TV. Hulu + Live TV is included in the deal, while the rest of Hulu remains independent. As part of the agreement, Fubo <a href="https://www.benzinga.com/markets/equities/24/09/40855153/fubotvs-lawsuit-against-disney-fox-and-warner-scheduled-for-october-2025-trial-report">will drop its lawsuit</a> against Disney-backed Venu Sports. Disney and its partners will pay Fubo $220 million and Disney will provide a $145 million term loan due in 2026. The deal also includes a $130 million termination fee if it fails to close due to regulatory issues.
KKR &amp; Co. Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/KKR#NYSE">KKR</a>) is extending its offer period to FUJI SOFT shareholders from Jan. 9 to Jan. 24, seemingly hoping patience will outlast Bain Capital's aggressive courtship. Bain Capital, meanwhile, has gone full &#8220;hostile partial takeover&#8221; mode. But KKR, as the largest shareholder, is reportedly confident that Bain Capital's offer <a href="https://www.benzinga.com/25/01/42894417/kkr-extends-tender-offer-for-fuji-soft-amid-bain-capitals-hostile-bid">will not gain traction</a>.
Paychex, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/PAYX#NASDAQ">PAYX</a>) is acquiring Paycor HCM, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/PYCR#NASDAQ">PYCR</a>) in an all-cash deal valued at $4.1 billion, offering $22.50 per share — a 19% premium over Paycor's recent trading average. The acquisition, unanimously approved by both companies&#8217; boards, is set to close in the first half of 2025, <a href="https://www.benzinga.com/25/01/42855388/paychex-buys-paycor-41-billion-deal-to-strengthen-ai-driven-hr-solutions">pending regulatory approvals</a>.
The Goodyear Tire &amp; Rubber Company (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/GT#NASDAQ">GT</a>) entered <a href="https://www.benzinga.com/25/01/42873285/goodyear-sells-dunlop-brand-to-sumitomo-rubber-expects-65-million-annual-soi-impact">a deal to sell its Dunlop brand</a> to Sumitomo Rubber Industries (SRI) for cash <a href="https://www.benzinga.com/pressreleases/25/01/n42865505/goodyear-announces-sale-of-dunlop-brand-to-sumitomo-rubber-industries" target="_blank" rel="noreferrer noopener">proceeds of around $701 million</a>. The purchase amount covers the brand transfer across Europe, North America and Oceania, a transition support fee and Dunlop tire inventory purchase. The deal also includes ongoing offtake, licensing and other commercial arrangements. Dunlop brand includes trademarks and related intangible assets for consumer, commercial and specialty tires across Europe, North America and Oceania. As per the deal, Goodyear will continue producing and distributing Dunlop consumer tires in Europe until at least Dec. 31, 2025, paying royalties to SRI while retaining all profits.
Italy&#8217;s Banca Ifis on Wednesday made a 298 million euro ($309 million) offer in shares and cash for its competitor, specialty lender Illimity Bank S.p.A. 
<h2 class="wp-block-heading">Bankruptcy Block</h2>
Prospect Medical Holdings is working with law firm Sidley Austin and consulting firm Alvarez &amp; Marsal to restructure three Connecticut hospitals that are under financial strain, according <a href="https://www.wsj.com/articles/prospect-medical-explores-restructuring-56ab7a48" target="_blank" rel="noreferrer noopener">to</a> The Wall Street Journal. Prospect purchased the hospitals (located in Waterbury, Manchester and Vernon) in 2016. Yale New Haven Health System intended to buy the hospitals for $435 million in 2022, but an agreement never came to fruition. As of Friday, the hospitals have not yet filed for bankruptcy.
Corsa Coal Corp. (TSXV:<a class="ticker" href="https://www.benzinga.com/stock/CSO#TSXV">CSO</a>) filed for voluntary chapter 11 relief in the U.S. Bankruptcy Court for the Western District of Pennsylvania on Jan. 6. It intends to conduct a sale of its assets. The company committed $15 million in debtor-in-possession financing to support operations during the bankruptcy and sale process.
<h2 class="wp-block-heading">Notes From The Block</h2>
<ul>
<li>At least 686 U.S. companies filed for bankruptcy in 2024, according to the <a href="https://www.ft.com/content/ac3c1e2f-c9bc-417e-a686-7170e1bf8533">Financial Times</a>.</li>
<li>That&#8217;s up about 8% from 2023. It&#8217;s also higher than any year since the 828 filings in 2010. Recall how companies were still reeling from the financial crisis at the time.</li>
<li>At least 30 of last year's bankruptcy filers had at least $1 billion in liabilities at the time of filing, the publication noted, citing data from S&amp;P Global Market Intelligence.</li>
<li>Some of the major bankruptcies from 2024 included Party City, Tupperware, Red Lobster, Spirit Airlines and Avon Products.</li>
<li>It&#8217;s worth noting that liability management exercises are becoming increasingly common. These out-of-court sessions are meant to serve as a workaround or alternative to bankruptcy.</li>
<li>Joshua Clark, a senior director at Fitch Ratings, notes that many of the companies that go through those types of ordeals go bankrupt anyway if a debt agreement falls apart.</li>

The Dogs of the Dow are a favorite pet among income-minded investors, especially at the start of the new year.&nbsp;
The term "Dogs of the Dow" is largely credited to money manager Michael B. O'Higgins.
&nbsp;In 1991, O'Higgens postulated an investment strategy that chose the top ten Dow Jones Industrial Average stocks that pay the highest dividends. Investors hold the stocks throughout the calendar year, then replace them the following January with the new year's latest top ten list of dividend-yielding stocks.
Here&#8217;s how it works &#8211; and the three &#8220;Dogs&#8221; to do buy today.
The "Dogs" portion of the &#8220;Dogs of the Dow&#8221; name stems from the otherwise underperformance of high-yielding stocks. For whatever reason – poor sector performance, major supply chain problems, high inflation, or toxic public relations issues – these Dow Jones stocks didn't cut it in the previous year and raised their dividend to appease market buyers.
Dogs of the Dow proponents believe these stocks will bounce back in the new year and will do so, paying out high dividends to shareholders.&nbsp;
That's the theory, at least.
In both 2023, Dogs of the Dow stocks significantly underperformed the Dow Jones index in 2024 by 14% and the S&amp;P 500 Index by 24%.

The strategy is simple, income-focused, and rooted in value investing, making it appealing to investors seeking higher dividend income."
Engaging with a Dogs of the Dow investment strategy is ideally discussed with a trusted financial advisor, but user-wise, it's an easy move to make for Main Street investors.
"The Dogs of the Dow is a solid strategy, and it's good for anyone who understands the inherent risks of the stock market," says Lucas Barcelo, a money manager and founder at Thrivin Life, a business consulting company in Las Vegas, Nevada. "It's like investing with training wheels because there is lower risk, stability, and consistent income in the form of dividend payouts."
"For anyone who is looking for a set-it-and-forget-it approach to investing, this is a very feasible option," Barcelo added.&nbsp;
<h2 class="wp-block-heading">Top &#8220;Dog&#8221; Picks for 2025</h2>
While vintage Dogs of the Dow strategies focus on those top 10 Dow dividend-paying stocks, some Dogs stand out more than others. These companies lead the list
Verizon (VZ). Some companies just have bad luck one year and good luck the next. Telecommunications giant Verizon should fall into that category.
"I like Verizon most of the Dogs, not just because of the high yield, but because their stock price has declined mainly because of China&#8217;s Salt Typhoon attack on their networks," says Jason DeLorenzo, owner and principal at Ad Deum Funds and creator of the Volland options trading platform. "They should shore up their cybersecurity and yield both capital gains and dividend yields."
Additionally, their stock price is not exceptionally volatile, "which means that their yield will only persist," DeLorenzo adds.

The oil and gas sector has faced stiff headwinds from reduced demand and a push toward cleaner energy, but there's still plenty of room for growth for oil and gas heavyweights like CVX. The company boasts a robust balance sheet and steady cash flow. Chevron is also expanding its energy exploration projects in regions like the Gulf of Mexico, where CVX expects to boost production by 2026. A current dividend yield of 4.39% won't hurt either.
"Companies like Chevron are expecting to continue their generation of high cash flows and I can personally attest to their consistent payouts of dividends," Barcelo says.
Coca-Cola (KO). Coca-Cola is getting support on Wall Street, with 76% of analysts covering the stock slapping "buy" calls on KO in early 2025.
Wells Fargo is holding its buy rating on the stock, while Piper Sandler initiated its coverage of KP with an overweight rating and a $74 per share target price. Coca-Cola stock is currently trading at $61 per share.
Coupled with a solid dividend yield of 3.15%, KO becomes a good Dogs of the Dow play as consumers appear to be in bounce-back spending mode in 2025.
<h2 class="wp-block-heading">Feed the Dogs With Your Eyes Wide Open</h2>
As 2024 demonstrated, a Dogs of the Dow strategy offers no guarantees, and risk is always an issue.
"Currently, you can buy a 10-year Treasury bond with lower risk and a higher yield than all but one of those Dogs of the Dow (Verizon)," DeLorenzo says. "As a result, you're relying heavily on capital gains for this strategy to work, and the Dow is not known to be an index that makes fantastic returns on capital gains."
DeLorenzo calls the Dogs of the Dow an "interesting strategy" and a "good one for Main Street investors."
"However, you shouldn't buy these stocks blindly and mechanically," he added. "Do your due diligence to ensure that your investment in the Dogs of the Dow strategy is properly diversified."

On Friday, Invivyd Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/IVVD#NASDAQ">IVVD</a>) announced that new in vitro neutralization data show continued neutralizing activity of Pemgarda&nbsp;(pemivibart) and pipeline candidate VYD2311 against dominant SARS-CoV-2 variant XEC.
The stock is trading with a strong session volume of 12.3 million, compared to an average volume of 757.02k as per data from <a href="https://www.benzinga.com/pro/feature/newsfeed" target="_blank" rel="noreferrer noopener">Benzinga Pro</a>.
As anticipated, the data are largely consistent with those previously reported for KP.3.1.1, based on the structural biology of pemivibart and VYD2311.
The Centers for Disease Control (CDC) estimates that XEC and KP.3.1.1 accounted for an aggregate 69% of U.S. circulating variants of SARS-CoV-2 for the two weeks ended December 21, 2024.
Invivyd generated these new data as part of its ongoing industrial virology effort. It leverages a third-party pseudoviral system that routinely tests authentic Invivyd-produced pemivibart and is supported by extensive structure-based and proprietary analytics.
Invivyd has showed positive Pemgarda neutralization activity against over 75% of currently circulating U.S. variants and all prior variants tested to date.
Further, the company estimates that every clinical variant reported in the CDC COVID Tracker since the Omicron BA.1 lineage has been susceptible to pemivibart, even if untested, due to the consistent structural integrity of the pemivibart epitope.
Therefore, Invivyd does not anticipate any meaningful change to pemivibart neutralization activity, aside from expected normal quantitative variation in assay output, for the foreseeable future if the epitope pemivibart targets remain structurally intact, as it has since Omicron BA.1.
In November, Invivyd announced that a manuscript preprint conveying data from the CANOPY Phase 3 clinical trial of pemivibart for the pre-exposure prophylaxis of COVID-19, including long-term protection shown versus recent JN.1 sublineages at low residual titers, <a target="_blank" href="https://www.benzinga.com/pressreleases/24/11/g41899810/invivyd-announces-preprints-conveying-canopy-phase-3-clinical-trial-data-including-long-term-prote" rel="noreferrer noopener">was uploaded to MedRxiv</a>.
