Bernstein Liebhard LLP today announced that a lawsuit has been filed in the United States District Court for the Southern District of New York on behalf of a class of investors who purchased Subaye, Inc.(NYSE: <a class="ticker" href="/stock/sbay#NYSE">SBAY</a>) securities between the period of December 29, 2009 to April 7, 2011. Plaintiffs allege violations of the Securities and Exchange Act of 1934 against Subaye and certain individual defendants.

The Complaint asserts violations of the federal securities laws against Subaye and its officers and directors for issuing materially false and misleading financial statements to investors. On April 7, 2011, the Company disclosed that its auditor, PricewaterhouseCoopers Hong Kong , had resigned. PwC identified matters that may materially impact the fairness and reliability of Subaye's quarterly financial information for the three months ended December 31, 2010 and may cause PwC to be unwilling to rely on management's representations.

US stock futures are lower this morning following a 10.55% drop in Japanese Nikkei Average, on reports that radiation was leaking from a Fukushima Daiichi nuclear-power plant. Futures for the Dow Jones Industrial Average tumbled 278 points to 11,648.00 and futures on the S&amp;P 500 index dipped 35 points to 1,255.50. Nasdaq 100 futures declined 64.75 points to 2,224.75. 

US stocks closed lower, with the blue-chip Dow index dropping 0.43% to close at 11,993.16 on Monday.

Investors are also awaiting a monetary-policy meeting by the Federal Reserve today. 

Shares of Subaye Inc (NASDAQ: <a class="ticker" href="/stock/sbay#NASDAQ">SBAY</a>) dipped more than 29% in pre-market trading after the company reported the resignation of its chief financial officer (CFO) James Crane. SBAY appointed its president and director Alan Lun as the company's new CFO. 

Hewlett-Packard Company (NYSE: <a class="ticker" href="/stock/hpq#NYSE">HPQ</a>) announced its plans to lift its quarterly dividend by 50% during a strategy briefing. The company is raising its regular quarterly dividend to $0.12 per share. 

Texas Instruments Incorporated (NYSE: <a class="ticker" href="/stock/txn#NYSE">TXN</a>) warned of revenue loss from one of its manufacturing plants in Japan following the country's strong earthquake. 

Japan's prime minister reported that radioactive material was leaking from the Fukushima Daiichi nuclear plant, in Fukushima province. 

The Nikkei Stock Average tumbled more than 14% in afternoon trade, but recovered slightly to close down 10.55% following 6.2% decline on Monday. 

Asian markets ended lower, with Australia's S&amp;P/ASX 200 dropping 2.13% and China's Shanghai Composite falling 1.41%. Hong Kong's Hang Seng index fell 2.86% and India's Sensex dropped 1.49%.

Negative sentiment ruled the European markets today. While STOXX Europe 600 Index has dropped 3.69%, London's FTSE 100 Index moved down 3.09%.

Nymex crude-oil futures dropped about 1% in electronic trading. Light crude for April delivery fell $1.30 at $99.89 a barrel on Globex. The US dollar declined versus the Japanese yen.

Zagg Inc (NASDAQ: <a class="ticker" href="/stock/zagg#NASDAQ">ZAGG</a>) reported its Q4 earnings at $3.4 million, or $0.13 per share on revenue of $29.3 million. However, analysts were expecting earnings of $0.12 per share on revenue of $21.2 million. ZAGG shares dropped 4.32% to $7.76 in the after-hours trading session.

Texas Instruments Incorporated (NYSE: <a class="ticker" href="/stock/txn#NYSE">TXN</a>) warned of revenue loss from one of its manufacturing plants in Japan following the country's strong earthquake. The company is expecting to face expenses related to the damage to the plant and revenue loss in both the first and second quarters. TXN shares fell 2.05% to $33.85 in after-hours trading.

Dole Food Co Inc (NYSE: <a class="ticker" href="/stock/dole#NYSE">DOLE</a>) reported its Q4 adjusted earnings before interest, taxes, depreciation and amortization at $21 million, versus adjusted EBITDA of $68 million, in the year-earlier period. DOLE reported a Q4 loss of $0.31 per share, excluding some items. The company's revenue came in at $1.56 billion, compared with $1.53 billion, in the year-ago period. However, analysts were expecting earnings of $0.18 per share on revenue of $1.55 billion. DOLE shares declined 5.80% to $13.49 in the after-hours trading session.

Subaye Inc (NASDAQ: <a class="ticker" href="/stock/sbay#NASDAQ">SBAY</a>) reported the resignation of its chief financial officer (CFO) James Crane. SBAY appointed its president and director Alan Lun as the company's new CFO. SBAY shares tumbled 32.43% to $4.00 in after-hours trading.

Subaye, Inc. Reiterates Focus on Cloud Computing, Delays Launch of Online 3D Mall 

Subaye (NASDAQ: <a class="ticker" href="/stock/sbay#NASDAQ">SBAY</a>) announced today that its bundled cloud product ("BCP") customers grew to 14,546 as of December 31, 2010, which represents an increase of $6.1 million in annualized revenues since the launch of Subaye's new business model on September 1, 2010. The current level of 14,546 BCP customers generates a monthly run rate of approximately $6.2 million in revenues per month, or $74.4 million annually.
Since September 30, 2010, Subaye has generated customer growth in 23 of 27 markets the Company is now operating within.
On October 25, 2010, Subaye acquired the assets of <a href="http://www.aixi.net" title="www.aixi.net">www.aixi.net</a>. These assets primarily included a customer list of 42,731 small and medium sized businesses (the "Aixi SMEs") located in Guangdong Province, China. Subaye has previously stated its internal target of converting at least 8,546 and 17,092 of the Aixi SMEs to paying BCP customers by June 30, 2011 and December 31, 2011, respectively. As of December 31, 2010, Subaye had a total of 3,261 paying BCP customers that were Aixi SMEs. Management continues to believe Subaye will meet its internal targets with regard to the Aixi SMEs.

The remaining $7.0 million is due from the sale of copyrights in August to Sparkful Investments.
