The Rumor: Facebook (NASDAQ: <a class="ticker" href="/stock/fb#NASDAQ">FB</a>) is reported to be in talks to acquire messaging app company WhatsApp, according to sources reported by <a href="http://techcrunch.com/2012/12/02/whats-up-with-whatsapp-facebook-might-want-to-buy-it-thats-what/">TechCrunch</a>.

Facebook shares rallied initially on the report, coming within $0.12 of $29.

Facebook closed at $27.04 Monday, a loss of 3.5% on twice average volume.

Delta Airlines Rumored to be in Talks to Acquire Singapore Airline's Virgin Atlantic Stake

The Rumor: Delta Airlines (NYSE: <a class="ticker" href="/stock/dal#NYSE">DAL</a>) is reportedly in talks with Singapore Airlines (OTC: <a class="ticker" href="/stock/singf#OTC">SINGF</a>), to acquire their 49% stake in Virgin Atlantic, according to Reuters.

A Delta spokesperson declined comment on the rumor. A Singapore Airlines spokesperson was not available for comment.

Delta Airlines closed at $9.62 Monday, a loss of 4% on average volume.

Hearing Unconfirmed Market Chatter of Chevron Interest in Southwestern Energy

The Rumor: Chevron (NYSE: <a class="ticker" href="/stock/cvx#NYSE">CVX</a>) may bid for Southwestern Energy (NYSE: <a class="ticker" href="/stock/swn#NYSE">SWN</a>), according to unconfirmed market chatter. A similar rumor surfaced back in April, involving the same companies.

A Chevron spokesperson declined comment on the rumor. A Southwestern Energy spokesperson was not available for comment.

Genesis HealthCare Acquires Sun Healthcare for $8.50/Share

The Deal: Genesis HealthCare announced Monday that effective December 1, 2012 it completed the acquisition of Sun Healthcare Group (NASDAQ: <a class="ticker" href="/stock/sunh#NASDAQ">SUNH</a>). 

Under the terms of the agreement, Genesis acquired Sun for $8.50 per share of common stock in cash. The aggregate amount of the merger consideration was approximately $215 million, excluding closing costs and the repayment of approximately $89 million of Sun indebtedness. Genesis financed the transaction using borrowings under a term loan and available cash.

Sun Healthcare closed at $8.51 on Monday, a gain of $0.06 on about twice average volume.

Equifax to Acquire Credit Services Business of Computer Sciences Corporation for $1B

The Deal: Equifax (NYSE: <a class="ticker" href="/stock/efx#NYSE">EFX</a>) announced Monday that its subsidiary, Equifax Information Services LLC, has entered into a definitive asset purchase agreement with CSC Credit Services, Inc., a subsidiary of Computer Sciences Corporation (NYSE: <a class="ticker" href="/stock/csc#NYSE">CSC</a>), to purchase certain credit services business assets and operations of CSC. The purchase price is $1.0 billion in cash. 

The closing of the transaction is expected to occur by year-end.

Computer Sciences Corporation closed at $39.27 Monday, a gain of 3% on higher than average volume.

Martin Marietta Likely to Make 'Friendly' Offer for Vulcan Materials

The Rumor: Martin Marietta (NYSE: <a class="ticker" href="/stock/mlm#NYSE">MLM</a>) is likely make a new offer to acquire Vulcan Materials (NYSE: <a class="ticker" href="/stock/vmc#NYSE">VMC</a>), according to the Wall Street Journal. Martin Marietta made a 'hostile' offer to acquire Vulcan on December 22, 2011. That offer was to exchange 0.50 shares of Martin Marietta for each share of Vulcan Materials. The offer was terminated by court order on May 14, 2012.

Vulcan Materials closed at $52.31 Monday, a loss of 1% on higher than average volume.

Hearing PE Firms Losing Interest in True Religion

The Rumor: Private equity firms are losing interest in pursing a bid for True Religion Apparel (NASDAQ: <a class="ticker" href="/stock/trlg#NASDAQ">TRLG</a>), according to the Deal Reporter. The same publication had indicated positive private equity interest in the jeans company on November 12.

True Religion had announced a strategic review process on October 10. A spokesperson told Benzinga on Monday the company was still involved in that process, and declined comment on today's rumor.

(Genesis), one of the nation's largest providers of skilled nursing and
rehabilitation care, today announced that effective December 1, 2012 it
completed the acquisition of Sun Healthcare Group, Inc. (Sun) (NASDAQ: <a class="ticker" href="/stock/sunh#NASDAQ">SUNH</a>).

Under the terms of the agreement, Genesis acquired Sun for $8.50 per share of
common stock in cash.  The aggregate amount of the merger consideration was
approximately $215 million, excluding closing costs and the repayment of
approximately $89 million of Sun indebtedness.  Genesis financed the
transaction using borrowings under a term loan and available cash.

The merger of the two companies has created one of the largest skilled nursing
providers in the country, with 422 skilled nursing centers in 29 states.  It
has also expanded Genesis HealthCare's rehabilitation therapy business to more
than 1,500 contracts in 46 states.  The new company will have nearly 80,000
employees and combined annual revenue of approximately $4.6 billion.  The
Genesis HealthCare headquarters will remain in Kennett Square, Pennsylvania.

UBS Initiates Coverage on Sun Healthcare Group at Neutral, Announces PT of $8.50

Onyx Pharmaceuticals (NASDAQ: <a class="ticker" href="/stock/onxx#NASDAQ">ONXX</a>) traded up about 40% early in the session on Thursday. On Wednesday, the FDA's Oncological Drugs Advisory Committee (ODAC) determined that the benefit-risk assessment was favorable for Onyx's cancer drug Kyprolis. 

Ted Love, executive vice president of Onyx stated, “Today's ODAC recommendation is an important regulatory milestone in the review of Kyprolis for relapsed and refractory multiple myeloma”

Rite Aid (RAD) traded up about 8% early in the Thursday session. Rite Aid reported earnings for the first quarter on Thursday. Rite Aid's net loss for the first quarter of the fiscal year of 2012 was $28.1 million, compared to last year's first quarter net loss of $63.1 million. Rite Aid has had six straight quarters of same store sales increases.

President and CEO, John Standley, stated, “During the quarter, we saw strong growth in same-store prescription counts while key initiatives like our popular wellness+ customer loyalty program, enhanced Rite Aid brand offerings and ground-breaking Wellness store format continued to gain traction.”

On Wednesday, the company announced that it signed an agreement for the acquisition of Sun Healthcare by Genesis Healthcare. Genesis has agreed to acquire Sun Healthcare for $8.50 per share of common stock, for a total of about $275 million.

William A. Mathies, Sun's Chairman and Chief Executive Officer, stated, "The combined entity will have broad geographic reach and the scale necessary to remain competitive in the post-acute sector. On a combined basis, the two companies generated roughly $4 billion in revenue in 2011 and will have more than 420 facilities and 75,000 employees."

Sun Healthcare Group (NASDAQ: <a class="ticker" href="/stock/sunh#NASDAQ">SUNH</a>) shares are soaring today after the company announced yesterday that it has agreed to be acquired by Genesis Healthcare. Under the terms of agreement, Genesis will pay $8.50 per share totaling $275 million.

Quest Software, Insight Venture Partners and Vector Capital Enter Into Amendment to Merger Agreement

The Deal: Quest Software (NASDAQ: <a class="ticker" href="/stock/qsft#NASDAQ">QSFT</a>) announced late Tuesday that it has entered into an amendment to its previously announced merger agreement with affiliates of Insight Venture Partners to provide for the addition of Vector Capital as a member of the buyout group and for an increase in the merger consideration to be received by stockholders not affiliated with the buyout group from $23 per share in cash to $25.75 per share in cash. The increased purchase price represents a 33-percent premium to Quest's closing stock price on the day prior to the announcement of the Insight Merger Agreement.

In connection with the increased purchase price, Quest has agreed in the Amended Agreement to increase the termination fee payable by the Company under certain circumstances, including in the event that the Company receives and accepts a proposal that the Company's Board of Directors determines to be superior to the Amended Agreement, from $6.3 million to $25 million, as well as an increase in the maximum amount of expense reimbursement payable by the Company under certain circumstances from $7 million to $12 million.

approximately $275 million net of cash and debt acquired. Sun Healthcare's Board of Directors unanimously approved the transaction. The closing of the transaction is subject to customary conditions, including approval by Sun stockholders, expiration of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as well as regulatory approvals. The closing is expected to occur in the fall.

Invensys Sees Interest from Emerson, Weighs Options

The Rumor: Emerson (NYSE: <a class="ticker" href="/stock/emr#NYSE">EMR</a>) has an interest in acquiring Invensys' Foxboro unit, according to sources. The unit makes meters and control systems.

A spokesperson for Emerson was not available for comment.

Hearing Chatter of Celgene Bid for Dendreon

The Rumor: Celgene (NASDAQ: <a class="ticker" href="/stock/celg#NASDAQ">CELG</a>) was reported to be making a bid for Dendreon (NASDAQ: <a class="ticker" href="/stock/dndn#NASDAQ">DNDN</a>), according to sources. The report was said to have originated from a Summer Street analyst, but the firm later denied they were the source.

A spokesperson for Dendreon would not comment on the rumor. A Celgene spokesperson was not available for comment.

Dendreon closed at $7.49 on Wednesday, a gain of 4.03% on 1.3 times the average daily volume.

Jefferies comments, "SUNH missed top line expectations (due to a milder-than-expected flu season) but still met consensus EPS via impressive cost controls. SUNH appears on target to achieve its FY12 EPS outlook of $0.45-$0.60, but concerns about continued top line weakness might pressure
