Nayax Ltd. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NYAX#NASDAQ">NYAX</a>), a global commerce enablement and payments platform, has acquired UPPay, a digital payment and telemetry provider for automated <a target="_blank" href="https://www.benzinga.com/pressreleases/25/02/g44040125/nayax-announces-the-acquisition-of-uppay" rel="noreferrer noopener">self-service coffee machines in Brazil.</a>
The purchase price, equating to an enterprise value of R$32.75 million (~$5.3 million), will be paid with cash on hand and includes the earnout amount of up to&nbsp;~$0.47 million.
Nayax entered the Brazilian market in 2024 when it acquired VMtecnologia, a technology provider for the automated self-service industry in Brazil. With the acquisition of UPPay, Nayax and VMtecnologia will serve more than 25,000 new unattended points of sale in Brazil.
UPPay will integrate operationally with VMtecnologia, consolidating both companies&#8217; sales, distributional, and technical expertise.
This strategic acquisition strengthens Nayax&#8217;s foothold in the Brazilian market and broadens its reach across Latin America, offering merchants a comprehensive suite of affordable payment solutions.
&#8220;UPPay&#8217;s sophisticated yet affordable platform complements our vision of empowering retailers of all sizes with real-time operational insights, streamlined payments, and seamless customer experiences,&#8221; stated Yair Nechmad, CEO and Chairman of Nayax.
As of September 30, 2024, the company had&nbsp;$89 million&nbsp;in cash and cash <a target="_blank" href="https://www.benzinga.com//node/41897468" rel="noreferrer noopener">equivalents and short-term deposits.&nbsp;</a>
Nayax&nbsp;will release its&nbsp;fourth quarter&nbsp;and 2024&nbsp;earnings on March 4, 2025.

Iluvien and Yutiq generated net revenues of $27.6 million in the first full quarter <a target="_blank" href="https://www.benzinga.com/general/biotech/24/06/39460281/generics-player-ani-pharmaceuticals-strengthens-rare-disease-segment-with-380m-alimera-sciences-d" rel="noreferrer noopener">following the acquisition of Alimera</a>.
Net revenues for Brands increased 58.9% to $19.8 million, driven by increased demand.
Net revenues for Generic pharmaceutical products increased 9.4% to $78.6 million, driven by increased volumes in the base business and the contribution from new product launches.
The company launched five new products during the quarter and 17 for the full year. ANI&#8217;s strong R&amp;D and commercial productivity continued into the first quarter of 2025 with the launch of Prucalopride Tablets with 180 days of exclusivity.
The company says momentum has continued in the first quarter of 2025, with the number of new cases initiated reaching a new high in February.
Brands&#8217; revenues increased 58.9% to $19.8 million, driven by increased demand for certain products, which has occurred periodically over the past two years.
While this additional demand has persisted into the first quarter of 2025, the company anticipates a normalized performance thereafter for the purpose of full-year 2025 guidance.
Guidance: ANI Pharmaceuticals expects 2025 revenues of $756 million—$776 million, versus prior guidance of $739 million—$759 million and a consensus of $724.71 million.
The company expects adjusted EBITDA of $190 million-$200 million compared to prior guidance of $182 million-$192 million.
&#8220;With our business off to a strong start in 2025, particularly Cortrophin Gel, Generics, and Brands, we are raising our 2025 guidance for total net revenues and adjusted non-GAAP EBITDA,&#8221; said Nikhil Lalwani, President and CEO.
ANI Pharmaceuticals expects 2025 adjusted EPS of $6.12-$6.49 versus a consensus of $5.56.

The partnerships link Bitcoin to chains with a combined valuation in the tens of billions, reflecting a trend of Layer-1 and Layer-2 networks incorporating Bitcoin.
Bitlayer's BitVM Bridge, the first implementation of the BitVM framework, facilitates these connections without altering Bitcoin's core protocol. 
"As the most immediate benefit of integration, BitVM Bridge will help unlock Bitcoin&#8217;s $1.9 trillion worth of liquidity on multichain ecosystems," said Charlie Hu, co-founder of Bitlayer, noting potential access for users on the five networks to decentralized finance (DeFi) applications.
Each blockchain brings distinct features. Base uses cbBTC to integrate Bitcoin with EVM-compatible systems, Arbitrum targets DeFi with asset bridging, and Starknet, a zero-knowledge rollup, aims to share liquidity across protocols. 
Plume Network focuses on real-world asset (RWA) tokenization, while Sonic, tied to Solana's VM, supports gaming and apps. 
"Bitlayer pioneers Bitcoin's evolution as the first team to implement BitVM, unlocking native programmability and scalability without forks," Hu stated, highlighting the technical approach behind the effort.

The integration could shift how Bitcoin's value—about 60% of the crypto market—is utilized, potentially supporting activities like yield farming on protocols such as Aerodrome (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/">AERO</a>) or AAVE (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/aave/usd">AAVE</a>). 
However, experts caution that high transaction costs on Bitcoin and the complexity of zero-knowledge proofs may limit adoption. 
"This first BitVM integration marks a profound shift in the evolution of crypto," Hu added, with Bitlayer planning further collaborations to expand the framework's reach.
While the initiative aligns with Bitcoin's rising DeFi interest, it faces competition from Ethereum's established ecosystem and questions about economic viability. 
Bitlayer's approach contrasts with sidechains by settling transactions on Bitcoin, aiming to bolster miner fees amid halving pressures. 
Still, its impact remains unproven, and the broader industry continues to grapple with scalability and regulatory uncertainties.
