What Happened: Chuy&#8217;s Holdings and Darden&nbsp;entered into a definitive agreement in which Darden will acquire all of Chuy&#8217;s outstanding stock for&nbsp;$37.50&nbsp;per share in cash. The all-cash transaction has an enterprise value of approximately&nbsp;$605 million.&nbsp;
&#8220;Chuy&#8217;s is a differentiated brand within the full-service dining industry with strong performance and growth potential,&#8221; said Rick Cardenas, president&nbsp;and CEO of Darden. &#8220;Based on our criteria for adding a brand to the Darden portfolio, we believe Chuy&#8217;s is an excellent fit that supports our winning strategy.&#8221;
The transaction was unanimously approved by both boards and is expected to be completed in Darden&#8217;s fiscal second quarter. Darn expects the acquisition to be neutral to its net earnings per share for fiscal 2025.

Semiconductor stocks moved lower Wednesday as investors digested a report about the expansion of export restrictions and ASML Holding NV&#8216;s (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ASML#NASDAQ">ASML</a>) earnings release and forward guidance. 
ASML shares fell more than 12% on the session after the company reported <a href="https://www.benzinga.com/news/earnings/24/07/39808860/asml-beats-q2-earnings-expectations-with-strong-china-sales-ai-chip-demand">second-quarter numbers</a> that were lower than the same period in the previous year and guided quarterly gross margin in the range of 50% to 51% versus expectations of 51.1%.
Investors also mulled a Bloomberg <a href="https://www.bloomberg.com/news/articles/2024-07-17/us-considers-tougher-trade-rules-against-companies-in-chip-crackdown-on-china">report</a> that the Biden administration is considering imposing the most severe trade restrictions on China if companies continue giving the country access to advanced semiconductor technology.
Additionally, former President Donald Trump said Taiwan should pay the U.S. for its defense, casting more doubt on the stability of the region. 
&#8220;I know the people very well, respect them greatly. They did take about 100% of our chip business. I think, Taiwan should pay us for defense,&#8221; Trump said in the Bloomberg Businessweek interview, published Tuesday.

Investors may view Intel as a safer option, compared to peers including Taiwan Semiconductor Manufacturing Company, Ltd. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/TSM#NYSE">TSM</a>) and NVIDIA Corp (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NVDA#NASDAQ">NVDA</a>), which depend on Taiwan for manufacturing. Intel is set to report its second-quarter results on Aug. 1 after the closing bell. According to estimates from <a href="https://pro.benzinga.com/?gspk=YWRhbWVja2VydDUzMzY&amp;gsxid=zBMR4PKmcgBw">Benzinga Pro</a>, analysts expect the company to report earnings of 10 cents per share and quarterly revenue of $12.948 billion.

The 1-800-Flowers Analyst: Linda Bolton Weiser downgraded coverage of 1-800-Flowers from Neutral to Underperform, while reducing the price target from $11 to $8.
The 1-800-Flowers Thesis: Bloomberg debit card data, which is 94% correlated to sales, indicates a decline of 15% year-on-year in sales in the fourth quarter of fiscal 2024, versus a 13% decline in the prior quarter F3Q24, Weiser said in the downgrade note.

"Consumers have tended to show up more on the big gift-giving holidays like Mother&#8217;s Day, but FLWS&#8217; everyday gifting business (which is the majority of sales) has been very anemic," she further wrote.

Beyond Meat stock has been stuck in a downtrend since the summer of 2021 as the company continues to burn through cash. The plant-based meat company had $173.5 million in cash and cash equivalents&nbsp;as of March 30.

Alex Wylie is the driving force behind Volt Lithium (OTC:<a class="ticker" href="https://www.benzinga.com/stock/VLTLF#OTC">VLTLF</a>). The company specializes in sourcing a key metal for <a href="https://www.benzinga.com/topic/green-energy">the green energy transition</a>.



"I always thought I'd like to be the CEO of an international company,&#8221; Wyle tells Benzinga. &#8220;That's why I got my CPA. You need to understand finance as an entrepreneur. You don't want to get tricked by the balance sheet," he noted, praising the entrepreneurial culture of Alberta, Canada.



"My dad was an entrepreneur, though not very good at it. I learned that it takes years to develop the skill set. You have to be comfortable leading an organization, handling risks, and staying calm under pressure," Wylie noted about his previous career at KPMG.



Seven Successful Exits: A methodical approach gradually led Wylie to take on more responsibility.



"I moved from being an employee to leading a team in oil and gas, and eventually to starting my own company."



Yet, looking back at a career spanning over 30 years, he recalls 2009 — the aftermath of <a href="https://www.benzinga.com/topic/recession">the Great Recession</a>.



"I had a choice between sticking with a small business model or joining a much bigger startup, which turned into a multi-billion dollar company. I chose the former and sold multiple businesses," he stated. 



Wylie had three exits as an employee, and four as a founder.



A Contrarian Opportunity: Over the last 15 years, Wylie worked with engineering and science teams. He grew comfortable as a leader before taking over Allied Copper Corp and renaming it Volt Lithium.



"The transition from CFO to CEO was a major change,&#8221; he said. &#8220;It is a different experience when the buck actually stops with you."



As CEO, Wylie draws on his investment banking expertise to figure out how to run a high-risk, high-reward venture.



"We had the choice of private equity or going public. I chose the latter because I didn't want to be just an employee of a private equity company." 



This strategy allowed him to maintain control and independence while working on technology that aimed to figure out how to extract lithium from oilfield brine. 



"The market didn't believe in our results, and our stock dropped. However, industry insiders saw the potential, and we went under NDA with several large oil and gas companies in the U.S.,&#8221; he said. &#8220;I took them on a six-to-seven-month journey to show them our process and results. Despite market skepticism, industry validation was crucial."



Changing The Paradigm: As an insider of the oil and gas industry, Wylie noted that his peers are typically &#8220;extremely risk-averse engineers.&#8221;



&#8220;They take lots of risks in drilling wells but won't take risks in anything else,&#8221; he adds. &#8220;So, if one group figures out how to do lithium extraction, they won't take a chance on someone who hasn't done it yet.&#8221;



Extracting lithium is a two-step process:



<ul>
<li>First, Volt takes the brine water and purifies it. </li>



<li>Second, it extracts the lithium itself. The company has successfully extracted <a href="https://voltlithium.com/wp-content/uploads/2024/01/24-01-31-Volt-Li-Carbonate-Production-FINAL.pdf">battery-grade 99.5% lithium</a>. </li>
</ul>



Still, they believe they can do better.



&#8220;We've evolved so much,&#8221; Wylie said. &#8220;One of the things we do is fail a lot. We build a pilot plant, we fail all the time, and there's nothing like failing to succeed. Each failure allows us to change a step and improve."



A Legacy In Green Transition: Volt recently secured an investment to <a href="https://voltlithium.com/wp-content/uploads/2024/04/Volt-Version-04-29-24-PP-Investment-FINAL.pdf">deploy a field unit</a> in the Delaware Basin in West Texas.



"The group that invested in us last month, we're going to the field with them in the summer and then scaling up. They have completely battle-tested us. We started discussions with them around this time last year and didn't disclose until May," he noted, pointing out the importance of Texas as an ideal testing ground.



The Southern state produces 19 million barrels of brine water per day. Yet, lithium extraction turns that water from a liability into an asset.



"Ultimately, you get very clean water that can be used for irrigation, manufacturing, and the power industry. The manufacturing industry in Texas alone consumes 900 million gallons of water daily, and the power industry consumes 500 million gallons daily," Wylie remarked.



"In the oil and gas industry, there are three major products: oil, associated natural gas, and water. In Texas, they're flaring the gas—it's like Christmas trees all over the place at night. We will use natural gas gen-sets for our power needs, which we can get at two and a half cents per kilowatt. That gas they're flaring will power our systems."



This situation gives the U.S. an advantage over leading lithium producers that traditionally operate in arid regions like the Lithium triangle in South America, where neither water nor power comes cheap.



Scaling Up: With oil and gas infrastructure in place, Volt doesn&#8217;t need significant capex, as lithium extraction happens before the water is disposed of in the reservoir.



"Our upfront cost to go full-scale commercial is $20 million for phase one production plans. To scale up, you just build more. Our footprint this summer will be 50 feet by 50 feet. The full-scale commercial might be 100 feet by 150 feet," he clarified.



According to current test results, Volt can produce lithium even from a low-concentration brine at about $2,900 per ton.



"It is a $6 billion cash flow opportunity within the next three to five years, and we&#8217;re a $20 million company. Things are looking up for <a href="https://www.benzinga.com/24/05/38950400/exclusive-lithium-refiner-stardust-power-expects-spac-deal-completion-in-june">lithium prices</a> as Chinese companies return to the market after a period of working through existing inventories, helping to end a monthslong slide.&nbsp;



The move higher will likely be gradual, as opposed to the record spike the market saw in 2022 when prices surged amid a bullish outlook for electric vehicle battery demand, increased market-led contract pricing mechanisms and sanctions that crimped the supply into Europe from Russia after it invaded Ukraine.



Since then, expectations for electric vehicle adoption growth have been tempered by high prices amid inflation, range anxiety, concerns about resale value and impatience with charging times. Despite decreasing battery demand, stockpiles in the battery supply chain in China have risen, contributing further to the slide in lithium prices.



Lithium carbonate prices fell from a record high above $800,000 per metric ton in December 2022 to around $11,500 in December. They're now trading at more than $14,000.

Data point to some Chinese restocking within the downstream lithium supply chain, Alice Fox, senior base metals strategist at Macquarie Group, told Benzinga. A strong restocking cycle could push prices higher, especially after recent mine supply cuts because of low lithium prices, she said. 



"Coming out of the first quarter, we have seen an increase in market activity with customers looking for more volume to buy, which signals the end of the destocking period and is also being reflected in the spot prices trending upwards in the recent weeks," Ricardo Ramos, CEO of major lithium producer Sociedad Química y Minera de Chile S.A. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SQM#NYSE">SQM</a>), said Wednesday in a conference call accompanying quarterly results.



Short-Term Chinese Demand Points to Higher Prices



With China having worked through its supply glut, Matthew Warder, CEO of management consultancy and financial analytics firm&nbsp;Seawolf Research, expects lithium prices to move up over the next six to 12 months.&nbsp;



"I think lithium prices have bottomed here," he told Benzinga.



China has been working through its supplies amid "outrageous" EV growth in the Asian nation, Alex Wylie, CEO of lithium development and technology company Volt Lithium Corp. (OTC:<a class="ticker" href="https://www.benzinga.com/stock/VLTLF#OTC">VLTLF</a>), told Benzinga.



In the first quarter, global passenger battery and plug-in hybrid electric vehicles sales jumped 28% year-on-year in China compared with just 2% growth in the United States and a decline of 3% in battery electric vehicles in Europe, according to Counterpoint Technology Market Research.



"EV demand is showing strong improvements in recent months—especially out of China," Simon Clarke, CEO of lithium mine developer American Lithium Corp. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AMLI#NASDAQ">AMLI</a>), told Benzinga.



Long-Term Global Lithium Demand Expected to Accelerate



Consumer demand for electric vehicles hasn't matured yet, Warder said. But over the long term, experts believe demand will be strong amid wider EV adoption.



On a recent trip to China, Nicholas Rowley, vice president of business development with miner Atlas Lithium Corp. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ATLX#NASDAQ">ATLX</a>) saw "a huge push by Chinese EV makers to take further market share from its western competitors," he told Benzinga.



"There are always fits and starts as new technology comes on stream," Graham Harris, chairman of lithium explorer Surge Battery Metals Inc. (OTC:<a class="ticker" href="https://www.benzinga.com/stock/NILIF#OTC">NILIF</a>), told Benzinga. "Think back to the internet and Wi-Fi coverage. Now 5G is taken for granted. It will be the same for the EV industry where advances in battery technology and charging will overcome the hurdles."



Domestic legacy automakers are facing increased competition from pure EV companies, with Chinese firms aggressively exporting EVs at competitive price points and with generally solid technology, Clarke said.&nbsp;



"Overall global EV demand is looking stronger," Clarke said. "I think blaming falling EV demand is somewhat disingenuous and masks the fact that there is now greater competition."



Even companies that are facing EV headwinds—including Ford Motor Co. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/F#NYSE">F</a>), General Motors Co. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GM#NYSE">GM</a>), Mercedes Benz Group (OTC:<a class="ticker" href="https://www.benzinga.com/stock/MBGYY#OTC">MBGYY</a>) and Tesla Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/TSLA#NASDAQ">TSLA</a>)— have taken steps to secure long-term lithium supply, signing up to buy directly from mining or refining companies or making direct investments in the lithium battery supply chain.



"We do realize that automakers may be a little slower in their adoption of or migration to electric vehicles, but all evidence indicates that they will get there," Francisco Lepeley, CEO of the Chilean division of lithium developer Wealth Minerals Ltd. (OTC:<a class="ticker" href="https://www.benzinga.com/stock/WMLLF#OTC">WMLLF</a>), told Benzinga.



Analysts expect demand for lithium to grow at an annual rate of 15%-20% through 2030, Andrew Lackner, a managing director with Energy Innovation Capital, told Benzinga. The company is a partner in EIC Rose Rock, a venture capital fund invested in Element3, a company that extracts lithium from oil and gas wastewater.



Over the next year or two, analysts project lithium supply and demand will be in balance, keeping prices around where they are currently, he said. In 2026, they project prices to increase into the $20,000 to $25,000 range through 2027 and rise from there, he said.



"While the recent drawdown on supply from Chinese processors should have a positive impact on prices moving forward, it isn't the only factor," Oerta Trepca, associate director and lithium market expert at Nasdaq IR Intelligence, told Benzinga. "Many calculate that current prices are not adequate to fund the increased capital expenditure necessary for supply to meet anticipated future demand, which could then potentially see a positive trajectory shift for prices in the long-term."

Volt Lithium Corp. has announced a strategic investment of US$1,500,000 by a company with operations in the Delaware Basin in West Texas, U.S.A., with the purpose of deploying a field unit.

This field unit will produce lithium hydroxide monohydrate using Volt&#39;s direct lithium extraction (DLE) technology and will build on work already done by Volt at its permanent Demonstration Plant in Calgary, Alberta.

Its Delaware Basin project is located in one of the largest conventional oil and gas-producing basins in North America. It produces approximately 10.9 million barrels of water every day through the production of oil and gas.

The strategic investment will be completed through a non-brokered, private placement with the investor. Under the private placement, 6,818,182 units of Volt will be issued at a price of US$0.22 per unit for an aggregate consideration of US$1,500,000 and is expected to close on or about May 1, 2024.

Each unit will consist of one common share in the capital of the company and one-half of one common share purchase warrant. Each warrant will be exercisable into one common share at a price of US$0.35 per warrant share.

Of the investment, President and CEO Alex Wylie said: &quot;We are very pleased to be collaborating with this operator to deploy Volt&#39;s field unit in the Delaware Basin. Volt has spent the past several months working with this operator to ensure the successful extraction of lithium from this operator&#39;s brine at our Demonstration Plant.&quot;

<h2>Lithium Is Key for a Greener Future</h2>

Lithium is used in the production of lithium-ion batteries. As most plug-in hybrids and all-electric vehicles use these batteries, it&#39;s clear that more lithium is needed as more people choose to move to greener vehicles.

CarbonCredits predicts that global demand for lithium will surpass 2.4 million metric tons by 2030, which is double the 2025 forecast. The publication also noted that Goldman Sachs is maintaining &quot;a pessimistic outlook for lithium prices in 2024&quot; and is projecting &quot;further declines compared to current levels.&quot; It puts the decline down to an oversupply of lithium this year.

<blockquote class="callOut left">Technical Analyst Clive Maund considers Volt Lithium as an Immediate Strong Buy, writing that &quot;Volt&#39;s technology opens the door to a symbiotic relationship with any number of oil companies who can partner with it to produce lithium in a manner that is profitable for both parties.&quot;</blockquote>

Stockhead recently reported on a supposed upcoming explosion of demand for electric vehicles (EVs) in China &quot;if the Chairman of Chinese EV-making titan BYD is to be believed.&quot; Stockhead also went on to note that &quot;both futures and spot lithium pricings have staged a slight recovery after a bit of a recent dip&quot; but maintained that &quot;it&#39;s all looking a tad unpredictable at the moment.&quot;

As for Volt Lithium&#39;s part in a greener future, it notes that lithium extraction from oilfield brines is an emerging, high-growth industry. To its knowledge, the company is the &quot;only lithium extraction company targeting [the] sector that has successfully extracted lithium from oilfield brines.&quot; After completing a pilot program, it announced up to 90% extraction capabilities using the company&#39;s technologies.

Companies like EXXON&nbsp;(NYSE:<a class="ticker" href="https://www.benzinga.com/stock/XOM#NYSE">XOM</a>) and Chevron&nbsp;(NYSE:<a class="ticker" href="https://www.benzinga.com/stock/CVX#NYSE">CVX</a>) have also both recently announced that the extraction of lithium from oilfield brines will &quot;become a future core competency once technology is commercialized.&quot;

As Volt Lithium points out, extracting from oilfield brines will have a &quot;first mover advantage in North America, as infrastructure is in place, fields are permitted, and lithium is produced today from the brines; it&#39;s just not currently being extracted.&quot;

<h2>Volt&#39;s Recent Progress</h2>

The company closed a round of financing towards the end of last year and hoped to &quot;significantly advance the business&quot; with a number of key deliverables, including a published PEA, improvements to key technologies, and the completion of a permanent pilot.

In February 2024, the company announced it had been able to cut operating costs by 64% on its Rainbow Lake property.

<h2>What The Experts Are Saying</h2>

The experts agree that the future looks exciting for Volt. Michael Ballanger of GGM Advisory Inc. explained in a January newsletter that he changed Volt Lithium&#39;s rating to a Buy because of a research report from Wood Mackenzie, reposted in The Wall Street Journal, which mentioned &quot;forecasting a glut of lithium . . . to continue for several years.&quot;

Ballanger also noted that &quot;lithium darlings that were market darlings a year ago, such as E3 Lithium Ltd. and Patriot Battery Metals Inc. are now in full &quot;crash&quot; mode.&quot;

Technical Analyst Clive Maund also considers Volt Lithium as an Immediate Strong Buy, writing in a February article that &quot;Volt&#39;s technology opens the door to a symbiotic relationship with any number of oil companies who can partner with it to produce lithium in a manner that is profitable for both parties.&quot; He also mentions the recent signing of a cooperation agreement with Alberta-based oil and gas producer Cabot Energy.

Maund wrote that while &quot;oilfield lithium brine is often at low concentrations . . . Volt has developed the technology to profitably extract it.&quot;
