Thoma Bravo in Talks With Bankers on NCR Bid, According to Sources
The Rumor:
Private Equity firm Thoma Bravo has been discussing a potential bid with some of its investors for NCR Corp NCR, according to sources as reported by Reuters. An offer for NCR could value the manufacturer of ATM's at approximately $9 billion. Marcato Capital Management, which has a seat on NCR's board, has been calling for the company to explore strategic alternatives and now holds a seat on its board of directors. Barry Rosenstein's Jana Partners owns a 7% passive stake in NCR. Additionally, Blackstone Group LP BX and Carlyle Group LP CG had reportedly formed a consortium, in an attempt to acquire NCR. NCR shares rose more than 2.5% Friday, closing at $30.26. CF Industries Talks to Acquire OCI NV The Rumor:
CF Industries Holdings Inc. CF is in advanced merger talks with Holland's OCI NV OCINF, according to sources reported by the Wall Street Journal. The terms of a potential deal between the fertilizer companies are not known. On July 1, CF announced it was acquiring from Yara International, its 50% stake in GrowHow UK for $580 million. CF Industries shares rose almost 10% Friday, closing at $68.92. Valeant Pharmaceuticals to Acquire Amoun Pharmaceutical for ~$800M The Deal:
Valeant Pharmaceuticals International, Inc. VRX announced Friday, that it has entered into a definitive agreement to acquire Amoun Pharmaceutical holding company Mercury (Cayman) Holdings for approximately $800 million, plus contingent payments. The companies expect the deal to close in Q3 of 2015. Valeant shares closed Friday at $236.10, a loss of 1%. Lockheed Martin to Acquire United Technologies' Sikorsky Aircraft Unit for $8B+ The Rumor:
Lockheed Martin Corp LMT has agreed to acquire United Technologies Corp's UTX Sikorsky Aircraft unit for more than $8 billion, according to sources as reported by Reuters on Sunday. Reuters had reported on July 8 that Lockheed and Textron Inc. TXT were the two finalists for the unit. The deal is exptected to be announced on Monday. Both Lockheed and UTX are scheduled to report earnings on Tuesday. Lockheed Martin shares closed Friday at $201.18, a loss of $0.44
