The following are the M&A deals, rumors and chatter circulating on Wall Street for Wednesday March 2, 2016: Checkpoint Systems to be Acquired by CCL Industries for $10.15/Share in Cash The Deal:
CCL Industries Inc. announced Wednesday, that it will acquire Checkpoint Systems, Inc. CKP for $10.15 per share in cash, for a transaction valued at approximately $556 million. The deal is expected to close in mid-2016. Checkpoint Systems closed at $10.17 on Wednesday, up 29%. ARMOUR Residential REIT to Acquire JAVELIN Mortgage Investment for $7.14/Share The Deal:
ARMOUR Residential REIT, Inc. ARR and JAVELIN Mortgage Investment Corp. JMI announced Wednesday, the signing of a definitive merger agreement, under which ARMOUR will acquire JAVELIN. Under the terms of the agreement, a wholly-owned subsidiary of ARMOUR will commence a tender offer to acquire all of the outstanding shares of JAVELIN common stock for an amount in cash per share equal to 87% of the book value per share of JAVELIN common stock, currently $84.7 million or $7.14 per share. JAVELIN Mortgage closed at $7.04 on Wednesday, up 17.33%. Hearing Unconfirmed Market Chatter of Potential $47/Share Bid for PayPal by Amex The Rumor:
Shares of PayPal Holdings PYPL spiked higher Wednesday, on unconfirmed market chatter of a potential bid by American Express Company AXP. Sources report Amex offered $47 per share in cash and stock. Spokespersons for PayPal and American Express did not respond to requests for comment. PayPal closed at $39.16 on Wednesday down $0.09. DuPont Considered Bid for Syngenta The Rumor:
Shares of Syngenta SYT spiked higher Wednesday, on a report from the Wall Street Journal that DuPont DD was considering an offer to acquire to the Swiss seed company, according to a filing. The filing does not name Syngenta, but mentions former CEO Ellen Kullman traveled to Geneva for a meeting with a "a large publicly-traded company in the agricultural sciences industry." Syngenta in February agreed to be acquire by ChemChina for $43 billion. Syngenta closed at $81.18 on Wednesday, down $0.19.
