Hooters of America is huddling up with its creditors to cook up a <a href="https://www.benzinga.com/topic/bankruptcy">bankruptcy restructuring plan</a>. 
The famous BBQ wing chain has enlisted legal heavyweights at Ropes &amp; Gray to prep the filing, according to <a href="https://www.bloomberg.com/news/articles/2025-02-21/hooters-in-talks-to-prepare-a-bankruptcy-filing-in-coming-months?srnd=homepage-americas&amp;sref=TBDibEcD">Bloomberg</a>. The court showdown could kick off within the next two months.
Known for its crop-top uniforms and winking owl mascot, Hooters is trying to get its financial house in order with help from turnaround pros at boutique firm Accordion Partners. 
Meanwhile, some of its lenders have brought in Houlihan Lokey to also advise the process.
<h2 class="wp-block-heading">What Else Is On The Bankruptcy Block?</h2>
Hooters isn&#8217;t the only sit-down dining spot feeling the heat of Chapter 11. 
Mediterranean fast-casual chain Rōti, for example, recently sold out of bankruptcy. According to <a href="https://www.chicagobusiness.com/restaurants/roti-sold-out-bankruptcy-edible-arrangements-founder">Crain&#8217;s Chicago</a>, a private-equity firm led by the founder of Edible Arrangements agreed to take it over. 
Rōti will retain 17 of its 19 locations once the deal is complete.
The culprit behind these filings? Fewer customers waltzing through doors thanks to <a href="https://www.emarketer.com/content/dining-inflation-remains-higher-than-food-home--forcing-restaurants-compete-on-value">inflation</a>. Plus, supply chain headaches, and soaring interest rates are pushing menu prices skyward. As a result, more folks are opting to cook at home. 
More than a dozen major restaurant groups or franchisees waved the white flag and filed for bankruptcy last year, including <a href="https://www.benzinga.com/news/24/05/38992673/the-craziest-parts-of-the-red-lobster-bankruptcy-story-revealed">Red Lobster</a> and <a href="https://www.benzinga.com/m-a/24/11/41700829/deal-dispatch-tgi-fridays-goes-bankrupt-bhp-backtracks-comments-and-more-m-a-news">TGI Fridays</a>.

<li>Family Dollar, a discount retailer owned by Dollar Tree (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/DLTR#NASDAQ">DLTR</a>), is for sale. Reuters reports that several buyout firms — Apollo Global Management, Sycamore Partners,and Brigade Capital Management — are interested.</li>

<li>HBM Healthcare Investments is shopping Baar, Switzerland-based Swixx Biopharma to potential buyers. Bloomberg put the valuation at about 1.5 billion Swiss francs ($1.7 billion). Jefferies Financial Group Inc. and Centerview Partners are handling <a href="https://www.bloomberg.com/news/articles/2025-02-20/hbm-is-said-to-consider-1-7-billion-sale-of-swixx-biopharma?sref=TBDibEcD">the sale</a>.</li>

<li>Italian media outlet Daily Il Sole 24 <a href="https://www.ilsole24ore.com/art/prada-stretta-versace-esclusiva-quattro-settimane-AGHcQc0C">reports</a> that Prada Group is actively trying to buy Versace. Investment bank Citi is reportedly advising Prada on a potential acquisition. Versace has been under the ownership of Capri Holdings since 2018. Since mid-December, speculation has been mounting that Capri is gearing up to sell Versace, along with another brand in its portfolio—Jimmy Choo. Barclays is advising Capri Holdings to circulate the dossier among potential buyers. This week, Bloomberg <a href="https://www.bloomberg.com/news/articles/2025-02-19/prada-works-with-advisers-to-evaluate-versace-for-possible-bid?srnd=phx-deals&amp;embedded-checkout=true&amp;sref=TBDibEcD">reported</a> that Prada has gained access to Versace&#8217;s latest financial and sales figures.</li>

Current offers value the company at $577 million. Hg, SmartTrade's owner, aims to select a buyer by late March.</li>

Consumer Sentiment Drops 10%, UnitedHealth Under Investigation: What's Driving Markets Friday?

Celsius Holdings, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CELH#NASDAQ">CELH</a>) stock is trading higher on Friday after the company reported better-than-expected fourth-quarter earnings on Thursday and announced an agreement to acquire Alani Nutrition.
The Details: Celsius reported adjusted earnings per share of 14 cents, beating analysts&#8217; estimate of 11 cents. In addition, the company reported sales of $332.20 million, beating analysts&#8217; estimate of $327.97 million, but representing a 4% decrease year-over-year.
Celsius attributed the sales decline to the negative impact of higher domestic allowances from various programs, including the distributor incentive program. 
The company also announced it will acquire Alani Nutrition LLC for $1.8 billion, which includes $150 million in tax assets, making the net purchase price $1.65 billion. Celsius expects the acquisition to generate $2 billion in sales and be cash EPS accretive in its first year.

The 10-year Treasury yield stood at 4.49%, while the two-year yield was at 4.26%. Ryan Detrick, the chief market strategist at Carson Research highlighted that the second half of February is usually riskier for the S&amp;P 500 returns. He mapped the data from 1950 to 2024, which showed that on average, the index has declined consistently after peaking on Feb. 15.

Highlighting the fixed income opportunities, Scott Wren, the senior global market strategist at Wells Fargo said that investors should move money out of short-term instruments and into higher-yielding investment-grade fixed income further out on the maturity spectrum.
&#8220;We have conviction around our year-end target range of 4.50% – 5.00% for the U.S. 10-year Treasury note, and on that basis, we see attractive fixed-income opportunities for investors,&#8221; he said.

Shares of Five9, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/FIVN#NASDAQ">FIVN</a>) rose sharply in today's pre-market trading after the company reported <a href="https://www.benzinga.com/quote/FIVE">better-than-expected fourth-quarter financial results.</a>
Five9 reported quarterly earnings of 79 cents per share, which beat the analyst consensus estimate of 70 cents. Quarterly revenue came in at $278.66 million which beat the analyst consensus estimate of $267.81 million and is an increase over revenue of $239.06 million from the same period last year.
Five9 also announced the retirement of CFO Barry Zwarenstein and the appointment of Bryan Lee to Interim CFO.
Five9 shares jumped 13% to $47.10 in the pre-market trading session.

Here&#8217;s a look at the key metrics <a href="https://www.benzinga.com/pressreleases/25/02/b43867263/celsius-holdings-reports-fourth-quarter-and-full-year-2024-financial-results">from the quarter</a>.
Q4 Earnings: Celsius reported fourth-quarter revenue of $332.2 million, beating analyst estimates of 327.97 million, according to <a href="http://pro.benzinga.com">Benzinga Pro</a>. The company reported fourth-quarter earnings of 14 cents per share, beating analyst estimates of 11 cents per share.
Total revenue was down 4% on a year-over-year basis as North America revenue fell 6%. International revenue was up 39% year-over-year. Celsius retail sales increased 2% year-over-year and category market share came in at 10.9%, down 0.5% from the prior year&#8217;s quarter.
Celsius ended the quarter with $890.19 million in cash and cash equivalents.
&#8220;We are pleased that our strategic initiatives are driving long-term share gains and strong retail sales growth &#8230; We are investing behind our growth through targeted strategic investments in vertical integration and capital efficient expansion,&#8221; said Jarrod Langhans, CFO of Celsius Holdings.
What Else: Celsius also announced that it entered into a<a href="https://www.benzinga.com/pressreleases/25/02/b43867287/celsius-holdings-to-acquire-alani-nu-creating-a-leading-better-for-you-functional-lifestyle-platfo"> definitive agreement</a> to acquire Alani Nutrition for $1.8 billion. The purchase price includes $150 million in tax assets for a net purchase price of $1.65 billion in cash and stock. Celsius noted that it expects the acquisition to be cash EPS accretive in the first year.
&#8220;We have deep respect for the strong community of supporters and fans Alani Nu has developed and the authentic brand and partnerships they have formed. Together, we expect to broaden the availability of Alani Nu&#8217;s functional products to help more people achieve their wellness goals with great-tasting, functional product options at more moments throughout their lives,&#8221; said John Filly, chairman and CEO of Celsius.

Celsius Holdings shares are trading higher after the company announced it will acquire Alani Nu for $1.65 billion.

Founded in 2018, Alani Nu is a female-focused brand that delivers functional beverages and wellness products that are aspirational yet accessible for a growing community of Gen Z and millennial consumers.&nbsp;
Upon closing, Alani Nu will operate within Celsius, and key members of the Congo Brands leadership team have agreed to continue as advisors to Celsius to help ensure continued business momentum.
Under the terms of the agreement, Celsius has agreed to acquire Alani Nu from co-founders, Katy and Haydn Schneider, and Congo Brands' Co-Founders, Max Clemons and Trey Steiger, for $1.8 billion comprising a mix of cash and stock including a potential $25 million earn-out based on 2025 performance.&nbsp;
This includes approximately $150 million net present value of tax benefits for a net purchase price of $1.65 billion and represents an attractive valuation of less than 3x 2024A revenue of $595 million and approximately 12x fully synergized 2024A EBITDA of $137 million.
