Eni is an integrated oil and gas company that explores for, produces, and refines oil around the world. In 2023, the company produced 0.8 million barrels of liquids and 4.6 billion cubic feet of natural gas per day. At end-2023, Eni held reserves of 6.4 billion barrels of oil equivalent, 48% of which are liquids. The Italian government owns a 30.1% stake in the company. Eni is placing its renewable and low-carbon business in a separate entity called Plentitude, which it will likely list publicly at some point.

KKR &amp; Co. Inc.&nbsp;(NYSE:<a class="ticker" href="https://www.benzinga.com/stock/KKR#NYSE">KKR</a>) reached a deal with&nbsp;ENI S.p.A.&nbsp;(NYSE:<a class="ticker" href="https://www.benzinga.com/stock/E#NYSE">E</a>) to expand its ownership in&nbsp;Enilive by acquiring an additional 5% stake valued at 587.5&nbsp;<a target="_blank" href="https://www.eni.com/en-IT/media/press-release/2025/02/eni-signs-agreement-kkr-increase-its-stake-enilive.html" rel="noreferrer noopener">million</a> euros (~$614.4 million).
The transaction will bring KKR&#8217;s total stake in Enilive to 30% and the investment aims to enhance Eni&#8217;s capital structure while ensuring Eni retains control and consolidation of Enilive.
This latest purchase&nbsp;is based&nbsp;on the same post-money valuation of 11.75 billion euros in equity value for 100% of Enilive&#8217;s share capital.&nbsp;The deal&nbsp;is expected&nbsp;to close next month.&nbsp;
Francesco Gattei,&nbsp;Chief Transition &amp; Financial Officer of Eni, said, &#8220;KKR&#8217;s additional investment confirms&nbsp;the attractiveness of Enilive&nbsp;to the market. Enilive is a solid and growing company,&nbsp;with an important financial partner, and it will play a crucial role in reducing emissions generated by the end use of our products, which is a key aspect of our path to Net zero by 2050.&#8221;
The transaction price values Enilive&#8217;s total equity at 11.75 billion euros post-transaction.
The transaction aligns with the agreement signed last October 2024, in which KKR agreed to acquire a 25% stake in&nbsp;Enilive&nbsp;<a target="_blank" href="https://www.benzinga.com/markets/equities/24/10/41518786/kkr-acquires-25-stake-in-enilive-supporting-enis-push-for-energy-transition" rel="noreferrer noopener">for 2.938 billion euros</a>.

The company disclosed the successful completion of the sale of 100% of its Nikaitchuq and <a target="_blank" href="https://www.eni.com/en-IT/media/press-release/2024/11/eni-sale-upstream-assets-alaska-hilcorp-completed.html" rel="noreferrer noopener">Oooguruk </a>assets in Alaska to Hilcorp for a total value of $1 billion.
The transaction, approved by all relevant authorities, aligns with Eni&#8217;s strategy to streamline its upstream portfolio by divesting non-core assets.
This sale contributes to Eni&#8217;s financial goal of generating 8 billion euros in net portfolio inflows under its 2024-27 plan. Eni now expects to reach this target by 2025, which is ahead of schedule.
The company&#8217;s proceeds are expected to come from high-grading its Upstream portfolio, reducing ownership in major exploration finds, and securing new capital through Eni&#8217;s satellite strategy to fuel growth in its transition businesses, reinforcing value creation.
Last month, ENI reported a third-quarter adjusted EBIT decline of 14% Y/Y to €3.4 billion, despite a 2% rise in <a target="_blank" href="https://www.benzinga.com//node/41547475" rel="noreferrer noopener">hydrocarbon production and growth in LNG trading.</a>

(NYSE:<a class="ticker" href="https://www.benzinga.com/stock/E#NYSE">E</a>) reported third-quarter pro forma adjusted EBIT of €3.4 billion ($3.68 billion), down <a href="https://www.eni.com/content/dam/enicom/documents/press-release/migrated/2024-en/10/PR-2024-third-quarter-results.pdf" target="_blank" rel="noreferrer noopener">14</a>% year-over-year.
Hydrocarbon production rose&nbsp;2%&nbsp;to 1.661 kboe/d ($1.80 kboe/d), with installed capacity from renewables of 3.1 GW at the end of the period.
E&amp;P proforma adjusted EBIT was 3.2 billion euros, down 5%&nbsp;due to lower realizations impacted by a decrease in crude oil prices in USD.
Global Gas &amp; LNG Portfolio segment proforma adjusted EBIT stood at 0.25 billion euros, up 65% on the more favorable trading environment and the positive outcome of a negotiation/settlement.
Adjusted net profit stood at 1.27 billion euros, down&nbsp;30%&nbsp;from the prior year but above the analyst consensus of <a target="_blank" href="https://www.benzinga.com/earnings" rel="noreferrer noopener">1.08&nbsp;billion euros (per Reuters)</a>.
CEO&nbsp;Claudio Descalzi stated, &#8220;We have increased our upstream production alongside investing for the next phase of growth, including gaining approval for the plan of development on our large Indonesian projects.&#8221;

Outlook: The company projects hydrocarbon production to be around 1.70 million boe/d (vs. upper end of the 1.69 – 1.71 million boe/d range),&nbsp;<a target="_blank" href="https://www.benzinga.com/calendars/guidance" rel="noreferrer noopener">given a forecast Brent price of&nbsp;$83/bbl</a>.
The company now expects proforma adjusted EBIT of 14 billion euros vs. around 15 billion euros prior, with adjusted CFFO before working capital expected to be 13.5 billion euros (prior view: exceeding 14 billion euros) for the year.
Dividend: Eni anticipates the next quarterly dividend, following shareholder approval of a 1 euros per share dividend for FY 2024 (a&nbsp;6%&nbsp;increase from 2023), will be 0.25 euros per share, payable on November 20, 2024.
Buyback: The company plans to raise the 2024 share buyback, which is now expected to be 2 billion euros, a 25% increase on the previous guidance of 1.6 billion euros and more than 80% higher than the original plan for the year. This will bring the total distribution to around 38% of CFFO.
In a separate release, Eni and SERI Industrial disclosed that they have established an agreement to explore the potential development of an industrial chain for <a target="_blank" href="https://www.eni.com/en-IT/media/press-release/2024/10/eni-and-seri-industrial-an-agreement-for-the-industrial-development-of-the-battery-sector.html" rel="noreferrer noopener">lithium</a>-iron-phosphate electrochemical batteries.
This initiative focuses on applications in energy storage systems (ESS) and industrial and commercial electric mobility.

The investment improves Eni&#8217;s capital structure by reducing its net financial position while allowing Eni to maintain control and consolidation of Enilive.
This transaction marks a key advancement in Eni&#8217;s satellite model, designed to foster independent growth for high-potential businesses, attract new aligned capital, and provide market value transparency.

Eni S.p.A&nbsp;(NYSE: <a class="ticker" href="https://www.benzinga.com/stock/e#NYSE">E</a>), a leading integrated energy player, has been awarded an agreement for lease by The Crown Estate for a carbon capture and storage project. The agreement for lease was awarded for the Hynet project, the first CCS project in the United Kingdom to reuse existing pipelines and infrastructure to reduce emissions. Reusing the existing infrastructure should help reduce the project&#39;s cost and the overall environmental damage associated with the construction of a new project.
<h2>Eni Awarded Lease Agreement for the HyNet Project</h2>
Through this agreement, Eni will gain the rights to access and use the seabed and the pipeline infrastructure in place to transport carbon dioxide from the HyNet industrial cluster and safely store it. The HyNet project is aimed at capturing and storing carbon dioxide emitted from large industrial emitting sites in the North West of England and North Wales.
Once captured, these emissions will be safely transported to&nbsp;the storage site. For this project, Eni will leverage its depleted natural gas reservoirs under the&nbsp;Irish Sea. Capturing and storing the carbon dioxide emissions under the seabed will prevent them from leaking into the atmosphere, helping the&nbsp;UK achieve its net zero emissions target.
<h2>Impact on the UK&#39;s Decarbonization Strategy</h2>
After commencing operations, the HyNet project is anticipated to capture up to 10 million tons per year&nbsp;of carbon dioxide after 2030. This project marks a significant step&nbsp;toward the UK&#39;s target of capturing and storing 20-30 million tons of carbon dioxide per year by 2030. The HyNet project is the second Track 1 project to have secured an agreement for lease by The Crown Estate.
Previously, in October 2023, The Crown Estate granted an agreement of lease to another project that is expected to become one of the world&#39;s largest CCS initiatives in the North Sea region. Both projects are crucial parts of the UK&#39;s broader strategy to capture and store large amounts of&nbsp;carbon dioxide, contributing to the country&#39;s decarbonization efforts.
Eni will tap into its extensive experience in developing natural gas fields for this project. The company will leverage its skills, technical know-how and extensive knowledge in handling complex projects to repurpose the existing pipeline infrastructure and platforms. Reusing the existing assets should enable Eni to develop these carbon dioxide storage hubs rapidly and at a lower cost. This should help the company to support the decarbonization of its own activities and provide storage services to third parties.
<h2>The Crown Estate&#39;s Role</h2>
The Crown Estate believes that carbon capture and storage initiatives will play a pivotal role in meeting the UK&#39;s decarbonization target.
