What Happened: Foot traffic at retailers was up an average of 58% compared to daily averages in 2024, a trend that could see retail stocks benefit for the 2024 <a href="https://www.benzinga.com/news/24/11/42247997/walmart-shoppers-shun-electronics-for-black-friday-deals-on-eggs-bread-slippers">holiday shopping season.</a>
The 58% gain to the daily average, <a href="https://www.placer.ai/blog/super-saturday-2024-recap">reported </a>by Placer.ai, is higher than the 51.1% gain over the daily average seen on Black Friday. Sunday, Dec. 22, also saw retail foot traffic up 38.2% to the daily average.
While foot traffic was up compared to the daily average for the year, the 58% gain was smaller than last year's Super Saturday, which saw a 74.4% increase from the daily average. Why It's Important: Ahead of Super Saturday, the National Retail Foundation <a href="https://nrf.com/media-center/press-releases/157-million-consumers-to-shop-on-super-saturday">estimated </a>that 157.2 million consumers would shop on the shopping holiday based on an annual survey.
The figure comes in higher than the 141.9 million Super Saturday shoppers in 2024 and is the second highest figure over the last nine years, trailing only 158.5 million in 2022.
"Super Saturday is one of the last opportunities during the holiday season for consumers to get the remaining items on their shopping list," NRF Vice President of Industry and Consumer Insights Katherine Cullen said.
Cullen cited the shortened holiday shopping season, due to Thanksgiving falling late in November, boosting the odds of last-minute shoppers.
The survey found that 69.5 million people plan to shop both in-store and online, up from 58.3 million in 2023. The amount of people exclusively shopping in-store was down in the survey from 37% to 31%, while the percentage of people who said they would shop exclusively online increased from 22% to 24%.
Similar to the results above, the NRF survey highlighted department stores as potential winners on Super Saturday, with 37% of shoppers saying they planned to finish their holiday shopping there.
Finishing shopping online was the most popular response at 49%, with discount stores named by 27% of consumers and clothing and accessory stores named by 25% of consumers.
The NRF survey found the most popular gift purchases were clothing and accessories (50%), toys (32%), gift cards (26%) and books, video games and other media (24%).
The shortened holiday shopping season could have been good for retailers with more foot traffic each day and especially on the weekends. The key will be if the daily increase is enough to offset the lower number of total shopping days between Thanksgiving and Christmas.
The post-Christmas shopping time could also see a boost, with 71% of consumers in the survey saying they planned to shop after Christmas, similar to last year's survey.
NRF estimates that the entire holiday shopping season of Nov. 1 through Dec. 31 is expected to be up 2.5% to 3% from 2024, hitting a record range of $979.5 billion to $989 billion.

The company on Monday announced that the Nordstrom Family and Liverpool will acquire <a href="https://www.benzinga.com/pressreleases/24/12/n42646178/nordstrom-to-be-acquired-by-nordstrom-family-and-liverpool">all outstanding common shares of Nordstrom</a>. 
What To Know: Nordstrom said it signed a definitive agreement under which Erik, Pete, Jamie, other members of the Nordstrom family and Liverpool will acquire all shares not already owned by the parties in an all-cash transaction valued at approximately $6.25 billion on an enterprise basis. 
Under terms of the agreement, Nordstrom shareholders will receive $24.25 per share in cash, representing a premium of approximately 42% over the company&#8217;s share price as of March 18. Nordstrom said March 18 was the last day its stock traded unaffected by media speculation. 
The deal will also include a special dividend of up to 25 cents per share contingent on the transaction&#8217;s closing. The acquisition will result in Nordstrom becoming a private company. Following the close, the Nordstrom Family will own 50.1% of the company, with Liverpool holding 49.9%.
The Nordstrom Board has unanimously approved the proposed transaction upon the unanimous recommendation of a special committee of independent and disinterested directors that led the review and negotiation of this transaction. 
&#8220;Following a rigorous and independent evaluation and consultation with outside financial and legal advisors, the special committee unanimously concluded that this transaction offers greater value for all public shareholders at a significant premium to the unaffected share price,&#8221; said Eric Sprunk, chairman of the special committee.

(NYSE:<a class="ticker" href="https://www.benzinga.com/stock/JWN#NYSE">JWN</a>) today announced it has signed a definitive agreement under which Erik, Pete, Jamie Nordstrom and other members of the Nordstrom family (collectively, the "Nordstrom Family") and El Puerto de Liverpool, S.A.B. de C.V. ("Liverpool") (BMV:<a class="ticker" href="https://www.benzinga.com/stock/LIVEPOL#BMV">LIVEPOL</a>) will acquire all of the outstanding common shares of Nordstrom not already beneficially owned by the Nordstrom Family and Liverpool in an all-cash transaction valued at approximately $6.25 billion on an enterprise basis. Following the close of the transaction, the Nordstrom Family will have a majority ownership stake in the Company.
Under the terms of the agreement, Nordstrom common shareholders will receive $24.25 in cash for each share of Nordstrom common stock they hold. The merger consideration represents a premium of approximately 42% to the Company's unaffected closing common stock price on March 18, 2024, the last trading day prior to media speculation regarding a potential transaction. In addition, the Board intends to authorize a special dividend of up to $0.25 per share (based on Nordstrom's cash on hand) immediately prior to and contingent on the close of the transaction. U.S. stocks were higher, with the Dow Jones index gaining over 150 points on Thursday.
Shares of Accenture plc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/ACN#NYSE">ACN</a>) rose sharply in today's session after the company reported better-than-expected first-quarter financial results and raised FY25 <a href="https://www.benzinga.com/24/12/42586612/accenture-delivers-q1-revenue-growth-bolstered-by-consulting-and-managed-services">revenue growth outlook</a>.
On Thursday, Accenture reported first-quarter fiscal 2025 sales of $17.69 billion compared with the analyst consensus estimate of $17.12 billion, up 9% year-over-year in U.S. dollars and 5% in local currency.
Accenture shares jumped 7% to $372.09 on Wednesday.

Prospects for the Nordstrom family <a href="https://wwd.com/business-news/retail/nordstrom-family-store-going-private-case-1236403173/">taking their business private</a> next year look good.
<a href="https://wwd.com/business-news/retail/nordstrom-q3-results-beat-expectations-2024-sales-guidance-lifted-1236738210/">Nordstrom</a> Inc.'s financial results are improving. Executives have done a good job managing expectations. The Fed has cut rates twice this year, and the regulatory environment has loosened up.
Brothers Erik and Pete&nbsp;<a href="https://wwd.com/tag/nordstrom/">Nordstrom</a>, along with other members of the&nbsp;<a href="https://wwd.com/fashion-news/fashion-scoops/nordstrom-nyc-courreges-pop-up-exclusive-capsule-collection-1236702579/">Nordstrom</a>&nbsp;family and Mexican retailer Liverpool, have offered to acquire all of the outstanding shares of the company the group does not already own for $23 a share in cash, a total of $3.8 billion. The company is currently trading at around $23.19 a share. The Nordstrom family owns about one third of the stock. The family and any partners would have to own more than 50 percent of the voting shares to go private.
&nbsp;
The Nordstroms first tried to take their company private in 2017, offering <a href="https://wwd.com/feature/nordstrom-talks-break-down-next-move-unclear-1202634052/">$50 a share</a>, or $8.4 billion, with the backing of Leonard Green &amp; Partners.&nbsp;That offer was considered too low and rejected by a special committee of the board.
&nbsp;
Yet with the current lower offer, "I think the odds are decent and clearly better than last time," said Steve Dennis, author and president of SageBerry Consulting. "The business performance is more stable, interest rates are lowering, and there is lots of dry powder in the capital markets."
"We're expecting to see M&amp;A activity pick up next year," added Stephen Sadove, senior adviser for Mastercard and former chairman and chief executive officer of Saks Inc., commenting on the general deal-making environment. "There's money out there that should be put to use."
As Nordstrom executives work to take the company private — a process seen taking many months — they've been successful executing on strategic priorities, including an aggressive expansion of the Rack off-price chain, digital growth and comp gains at the Nordstrom business. But as one retail source said, "Nordstrom needs to do more work outside of the public markets to address the underlying performance of their core business."
While the Nordstroms underscored the strength of the business with third-quarter results and raised the sales guidance for 2024 overall, CEO Erik&nbsp;<a href="https://wwd.com/business-news/human-resources/nordstrom-head-dei-colleen-mitchell-1236683999/">Nordstrom</a>&nbsp;cited a slowdown in the first couple of weeks of the fourth quarter, while Cathy Smith, chief financial officer, said the external environment is "uncertain" and that the company is "prudently cautious" on its outlook for the current quarter. Others, including executives at Gap Inc. and Lululemon Athletica Inc., sounded more bullish notes on the holiday season.
Nordstrom did report a third-quarter drop in net earnings, but there were increases in operating profits and sales revenues that surpassed Wall Street expectations. But investors remain concerned about expenses and by the commentary on sluggish early fourth-quarter selling.
Wall Street takes a dim view of&nbsp;<a href="https://wwd.com/business-news/retail/nordstrom-brothers-proposal-to-take-nordstrom-private-under-review-1236321193/">Nordstrom</a>&nbsp;and most department stores. Through a go-private transaction,&nbsp;<a href="https://wwd.com/fashion-news/fashion-scoops/nordstrom-nyc-courreges-pop-up-exclusive-capsule-collection-1236702579/">Nordstrom</a>&nbsp;could reach a higher valuation, and preempt an unwanted bid for the company. Given its low stock price and the recent string of investor interest in department stores, including Kohl's and Macy's,&nbsp;<a href="https://wwd.com/business-news/financial/nordstrom-jwn-q1-2024-earnings-sales-increase-1236408611/">Nordstrom</a>&nbsp;could be vulnerable to takeover offers.

On Thursday, Nordstrom declined to comment on the plan to take the company private, and referred WWD to its September disclosure by a special committee of the board, which indicated: "There can be no assurance that the company will pursue this transaction or other strategic outcome, or that a proposed transaction will be approved or consummated. The company does not intend to disclose further developments regarding this matter unless and until further disclosure is determined to be appropriate or necessary."
Two big questions surround the plan to go private: Is there a deadline for putting together a deal, and how would Nordstrom's strategies change once turning private?
"To accelerate growth and improve differentiation in a challenging market, Nordstrom needs to take bolder action to future proof it's business model much of which will take a lot of capital and not show payback for multiple years," Dennis said. "So getting out of the public eye could give them air cover, and allow them to not worry so much about quarterly earnings focus."
Going private takes the Nordstroms out from under the constant glare of Wall Street, and enables them to eliminate the time and costs of producing quarterly reports, staging conference calls and meetings with investors. Management would also deal with less public scrutiny, far fewer stakeholders and regulatory requirements, and can be more decisive with a smaller constituency to report to. They'll have more time to focus on long-term strategy and spend time with their families. Private companies can be less transparent so competitors know less about what they're up against.
But if Nordstrom had to borrow money and leverage up to do the deal, "it could put them in long-term financial jeopardy," Dennis said.

Nordstrom, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/JWN#NYSE">JWN</a>) shares are <a target="_blank" href="https://www.benzinga.com/movers" rel="noreferrer noopener">trading lower on Wednesday</a>.
For the third quarter, the company&#8217;s net sales increased 4.6% compared to the same period in fiscal 2023, total company comparable sales increased 4.0%, and gross merchandise value increased 5.3%.&nbsp;
JP Morgan analyst Matthew R. Boss reiterated the Underweight rating on the stock, raising the price forecast to $21 from $20.
The analyst notes that despite favorable conditions for Nordstorm&#8217;s core customer base, including high personal savings rates, low debt service ratios, and significant household wealth creation, as well as favorable pricing and promotional factors, the company&#8217;s absolute and relative performance remains disappointing, with 2023 revenue levels and EBIT margins falling below 2019 levels.
JWN opened 12 Rack stores during the quarter, reflecting a 2.2% growth, and has a total of 23 Rack store openings year-to-date, in line with its 2024 guidance of 20-25 openings, with 15 expected in 2025, Boss added.

Telsey Advisory Group analyst Dana Telsey reiterated Market Perform rating on Nordstrom, raising the price forecast to $26 from $24.
The analyst notes that Nordstrom exceeded earnings expectations in the third quarter, driven by stronger sales, gross margins, and operating expense leverage.
Full-line segment growth was positive for the third consecutive quarter, and momentum at Rack continued.
However, despite this growth, management highlighted a slowdown in sales in late October and November.
As a result, Nordstrom cautiously raised its FY24 revenue growth outlook by 100 basis points, while keeping EBIT margin and EPS guidance unchanged. The company also noted elevated inventory due to slower-moving cold weather categories.
Given these factors, the analyst maintained a Market Perform rating. The analyst raised estimates to $2.00 in FY24, up from $1.95 previously. For FY25, the estimate goes to $2.06, up modestly from the prior estimate of $2.02.
Price Action: JWN shares are trading lower by 9.34% to $22.32 at last check Wednesday.
